Overview:
Marathon Asset Management is dedicated to seeking attractive absolute returns through investments in the global credit markets and real estate related markets. We are currently seeking to hire an Investment Advisor Attorney to serve as a key member of our Legal Team.
Responsibilities:
  • Negotiating limited partnership agreements, side letter agreements, placement agreements, non-disclosure agreements and other investment management related contracts
  • Supporting the preparation and updating of offering documents associated with private fund offerings and providing related advice on legal and regulatory issues
  • Reviewing and negotiating side letters with investors and other investment contracts, including various agreements other service providers, fund distribution and confidentiality agreements
  • Review and approval of marketing materials in accordance with SEC staff guidance for compliance with the Adviser's Act including the development of disclaimers for various marketing and other materials issued
  • Reviewing and advising on matters related to MNPI procedures and related trading issues
  • Advising on the various rules and regulations applicable to private fund offerings, including Regulation D, bad actor certifications, ERISA and investor qualification requirements
  • Strong knowledge of the Investment Advisers Act, the Investment Company Act and the Securities Exchange Act
  • Addressing ad-hoc legal questions from internal business partners
  • Cultivating and promoting relationships with key business partners and fostering and promoting a culture of compliance
Qualifications:
  • JD required
  • Minimum of 3+ years of legal experience in a large law firm setting
  • Must have excellent attention to detail across all endeavors as the ability to accurately draft documentation and to supervise outside counsel's precision in drafting is essential

  • Should have solid understanding of the full lifecycle of closed-end funds, the significant events of open-ended funds and the sub-advisory arrangements related to various managed accounts

  • Excellent soft skills, verbal and written communication skills
  • Ability and desire to work in a dynamic, fast-paced and demanding environment
  • Strong computer skills including Microsoft Word, Excel, PowerPoint and Outlook
  • Knowledge of GIPS a plus
