Corporate Paralegal
 
Successful candidates will take a primary role in contract management for compliance requirements.  In addition, this role will support the Legal department to ensure compliance with SEC, state, and federal corporate governance requirements.  In addition,  The successful candidate must be able to work with minimal supervision and demonstrate advanced computer skills. Exercises judgment and discretion while completing time-sensitive and confidential priorities. Being highly detail-oriented, including the ability to accurately proofread, is essential.
 
Role/Responsibilities:
  • Communicate with senior executives, directors, outside attorneys, and auditors
  • Support in-house counsel on preparation of proxy materials, annual director and officer questionnaires, annual meetings of the stockholders, and assists with the preparation and distribution of board meeting materials
  • Draft minutes, consent resolutions, and board materials;
  • Maintain the minute books and board records, director and officer incentive equity information, and coordinate with finance regarding director payment records
  • Communicate with officers and directors both verbally and in writing on a variety of matters; and manage certain aspects of compliance with Sarbanes-Oxley procedures.
  • Prepare and assist with public securities and corporate filings, including preparation and filing of Blue-Sky Filings: Form D, State Filings, as well as SEC Filings: Section 16 - Form ID and Forms 3, 4, 5; as well as support the administrative preparation of public company filings required by the Securities Exchange Act of 1934, including Forms 10-K, 10-Q and 8-K
  • Coordinate with the stock transfer agent and outside counsel regarding the issuance and maintenance of shares
  • Management of corporate policies and other ESG processes; and
  • The position will also include some general corporate paralegal responsibilities including contract management, drafting of non-disclosure agreements, assisting with forming new legal entities and managing state and local filings for various entities; maintaining other corporate resolutions and records including corporate officers, organizational chart, corporate profile; among others
  • Support, manage and administer equity plans
  • Support other corporate legal matters and transactions as requested and directed by in-house counsel
Competencies:
  • Proficiency in Microsoft Office products, required
  • Strong written and verbal communication skills, able to communicate effectively and in a professional manner with all levels of the company and outside providers
  • Ability to multitask and prioritize.
  • Strong analytical and interpersonal skills.
  • Innately possesses accountability, fearless risk-taking, and measurable achievement.
  • Flexible and adaptable
 Qualifications:
  • Paralegal Certification and/or Bachelor’s degree.
  • 8+ years of demonstrated experience as paralegal
  • 3+ years of demonstrated experience in corporate setting
  • Public company reporting experience a plus.
  • Strong communication skills; and
  • Computer proficiency (MS Word, Excel, and PowerPoint)
Work Environment and Physical Demands:
  • Work is performed Monday through Friday with the ability to work evenings and weekends as necessary.
  • Safety awareness is absolutely essential at all times while in the work area.
  • Must be able to stand and sit for extended times.
