Summary

The successful candidate will play an integral role in advising Spire Resources LLC’s operating subsidiaries (including Spire’s natural gas pipeline and storage businesses, natural gas liquids transmission business, and a standalone commodity trading business) in its day-to-day operations and be responsible for managing legal affairs for this fast-growing company. 

The ideal candidate will be a strategic thinker with demonstrated experience in most, if not all, of the following areas (i) commercial contract negotiations including NAESB-related sale and purchase of natural gas and other contracts for structured transactions; (ii) commercial and regulatory litigation; (iii) regulatory affairs and energy infrastructure development/permitting; (iv) regulatory, including FERC and other regulatory authority, compliance report; and (v) community, state, and/or federal governmental affairs.  At a minimum, the candidate will be required to have both energy midstream commercial and regulatory experience. 
 

Duties and Responsibilities

  • Assist the General Counsel in managing the strategic and tactical legal risks for the company, and be able to articulate the legal risk profile of the company’s operating subsidiaries including Spire STL Pipeline, Spire Storage West, Spire NGL, and Spire Marketing
  • Provide day-to-day counsel to business clients concerning business objectives and commercial activities of the company 
  • Negotiate commercial and other contracts (including NAESBs, transportation precedent agreements, tariff-based transportation contracts, operational balancing agreements, interconnection agreements, and construction and vendor contracts, as necessary) with limited oversight 
  • Assist in meeting pipeline tariff obligations, and take a lead role in managing all regulatory filings including filings to FERC, PHMSA, the BLM or other regulatory authorities
  • Advise on FERC Standards of Conduct matters
  • Collaborate to help lead applicable compliance education and formalized training.
     

Essential Characteristics and Competencies

Extensive knowledge of energy midstream (with emphasis on natural gas) transactions and regarding key governing laws and regulations such as the Natural Gas Act, FERC pipeline regulations, FERC Gas Tariffs, FERC certificate approval processes for new and expansion of natural gas infrastructure (including natural gas pipelines and underground storage infrastructure), as well as a working knowledge of federal and state environmental regulations is preferred. Midstream natural gas industry knowledge is however required.  

Supervisory Responsibilities

Required Education (certifications, licenses)

  • BA/BS degree 
  • JD degree 
  • License to practice law in any U.S. jurisdiction 
     

Required knowledge, skill and abilities

  • Minimum eight (8) years of legal experience
  • Demonstrated ability to build lasting professional relationships with internal colleagues and executive management 
  • Working knowledge of natural gas commodity trading business
  • Must demonstrate integrity, decisiveness and good judgment under pressure
  • Ability to manage a diverse and demanding workload, work independently and as a member of a team
  • Strong ambition to learn and ability to communicate with people of different professional backgrounds
  • Excellent verbal and written communication skills are required 
  • Superior analytical skills are required 
  • Strong attention to detail
  • Must be willing to travel, as necessary
     

Physical demands, environment and schedule

  • Job is performed in a typical trade floor office environment, but is subject to time pressures and constraints, and is often dependent on input from others  
  • Occasionally, work may be performed from home, after normal work hours or on weekends 
  • Periodic travel as business requires
  • Subject to drug and alcohol testing, per applicable federal regulations
