Responsibilities

Position Purpose: 

The primary purpose of this position is to provide entity organization, general corporate contract, and corporate governance support to the Business & Legal Affairs Department. Works under direct supervision of the General Counsel and Vice President of Business & Legal Affairs.

 

Core Responsibilities:

  • Track and manage entity information, corporate records and corporate contracts
  • Prepare and review basic legal documents including NDAs, corporate service provider agreements and other independent contractor agreements
  • Assist with development and implementation of corporate legal policies and templates

 

Outline of Specific Functions:

  • Prepare entity organizational documents, including articles of incorporation or dissolution, stock certificates, merger agreements, “doing business as” filings and state qualifications to do business
  • Provide review and drafting support for basic corporate agreements, including NDAs and service provider agreements; prepare and maintain form NDAs and independent contractor agreements as well as maintain such agreements within contract management database
  • Work with Vice President to maintain comprehensive entity database to track and store entity information, documents and organization charts
  • Maintain calendars for annual filings and compliance obligations
  • Assist with preparation of presentations and summaries regarding Business & Legal Affairs matters for the Board of Directors
  • Prepare and track written consents and resolutions
  • Support and track ongoing litigation, mediation and complaints; manage litigation holds
  • Assist with the development and implementation of corporate legal policies and templates
  • Assist with preparation of agendas and materials for Business & Legal Affairs department meetings
  • Perform general legal research as requested
  • Work with other members of the Business & Legal Affairs team on special projects, diligence, new initiatives, and other duties as assigned

 

Qualifications

Requirements:

  • Minimum 3-5 years of general corporate paralegal experience in-house or at a law firm
  • Bachelor’s degree or equivalent experience; paralegal certification a plus
  • Self-starter who is proactive and resourceful
  • Must have superb accuracy, be extremely detail-oriented, complete tasks in accordance with instructions and possess strong follow-up skills
  • Ability to perform legal and other research efficiently and to summarize results to Business & Legal Affairs team
  • Ability to multi-task, prioritize and work in a fast-paced, team environment
  • Strong written and verbal communication skills required, including ability to draft, negotiate and finalize basic legal agreements
  • Excellent judgement and interpersonal skills, with ability to interface directly and professionally with senior executives, outside counsel and third parties
  • Ability to maintain confidentiality, and to exercise discretion and good judgment Must have excellent typing and computer skills, including proficiency in Microsoft Outlook, PowerPoint, Word and Excel
  • Position will be based in Concord’s Nashville office

*This is a hybrid role requiring 3 days minimum on-site.
