I. Job Summary
The Commercial Transaction Paralegal will provide legal and administrative support to Counsel for commercial transactions and intellectual property. Additionally, as the Commercial Transaction Paralegal you will assist in preparing basic transactional documents under supervision of Counsel, including researching transaction documents, drafting basic commercial agreements, working with outside counsel on trademark, patent and other intellectual property matters. Paralegal will also perform administrative assistant duties for Counsel, including preparation of expense reports, billing matters, travel arrangements, filing, procuring office supplies and scheduling of meetings.
II. Essential Duties and Responsibilities
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Other minor duties may be assigned.
- Review and redlining routine and recurring contracts and other legal documents, including NDAs, service contracts, terms of RFP, RFI, RFQ and subconsultant contracts
- May conduct interviews to gather legal information or confer with personnel in other departments and outside the organization while performing research or other legal responsibilities.
- Prepares routine and complex legal documents.
- Assists attorneys with complex caseload research, subject and topic research. Maintains files, and may organize meeting minutes, and exhibits.
- Assists in implementation of Legal related processes and technologies.
- Maintains statistical and documented information related to cases and/or Company issues. Works with appropriate departments/functions within the Company to ensure implementation of policies or actions when necessary.
- Responds to questions, legal documentation/contracts and/or other requests from outside counsel and Company management. Disseminates requests and related information as required and/or directed.
- May review and analyze recommendations made by outside counsel. Obtains and communicates appropriate authorization when necessary for settlements. Coordinates reporting from outside counsel and consultants.
- Prepare presentation in Power Point on legal matters including trainings.
- Ensure compliance with corporate policies and procedures, including the signing authority policy

IV. Qualifications

A. Education and Experience
- Education: High School Diploma or GED (accredited).
- Experience: Four (4) years of relevant legal experience (in addition to education requirements)
B. Certificates, Licenses, Registrations or Other Requirements
- None required
- A.B.A. Approved Paralegal Certificate preferred
C. Other Knowledge, Skills or Abilities Required
Preference for the following:
- Strong working knowledge with Microsoft office products. (Preferably strong with Powerpoint)
- Strong oral and written communication skills.
- Strong interpersonal skills.
- Highly detailed oriented.
- Experience with case or matter management systems and reporting tools.
- Ability to work both independently and with a diverse set of personalities in a team environment
- Proven track record of learning quickly, taking initiative, working proactively, being resourceful and taking on additional responsibility.
