Cvent is seeking an experienced Senior Commercial Counsel to join our Legal Department. The successful candidate will work closely with our Sales team on a global basis, with responsibility for all aspects of the commercial contract process. including preparing and negotiating SaaS agreements in support of our global sales organization and performing similar work with respect to vendor and service provider agreements for the procurement, technology and other business departments. This will necessitate working closely with Sales, IT, Procurement, Finance and Customer Service.

The position will report to the Vice President and Deputy General Counsel - Commercial within the Legal department; and this individual will be expected to bring a high degree of contracts expertise to the position, and to rely on that expertise along with sound judgment and professionalism to operate independently.  All work will require a "business" as well as a "legal" approach, requiring responsibilities and competencies in negotiation, structuring deals and validation of terms against commercial and industry norms, project management, and team leading that is much more than simply documenting the legal terms of an already agreed upon deal.

In This Role, You Will:

Every day will bring new challenges. We are relying on you to stay organized and project manage a demanding workload. Your daily requirements will vary from day to day, including performing special assignments and other duties as assigned, but the work will primarily center around the following:

Commercial

  • Review, interpret, draft, revise and negotiate Enterprise-level SaaS customer agreements, specifically for Fortune 1000 clients and prospects, both domestically and internationally.  Our goal is to move contracts to completion in as expeditious a manner as possible while staying focused on protecting the interests of the Company
  • Analyze, provide redlined recommendations, and provide input into the preparation and revision of contracts and subcontracts to ensure customer and corporate objectives are met
  • Ability to lead a negotiation, understanding how to balance key risks and opportunities in order to obtain a mutually acceptable contract in a way that will not alienate customers
  • Collaborate with various business functions in connection with driving deal negotiations
  • Revise, update and maintain the master service, non-disclosure, and other standard form agreements; perform regular internal reviews of existing legacy contracts and ensuring legal and policy compliance prior to customer account activation 
  • Advise sales management of contractual rights and obligations and provide clarification of contract terms and conditions
  • Interpret contract policies, operating practices, and performance standards within the Contracts Team
  • Support the Account Management, Billing and Legal personnel as necessary to:
    • Manage contract renewal process and prepare improvements for same
    • Track and send contractually required notices/reports
    • Track all contractually required product enhancements and service level requirements
    • Support collections (e.g., investigate bankruptcy claims, prepare release forms)
  • Maintain contracts and related legal documents and records
  • Support of other legal team members on customer contracts, training sessions and related projects

Other Responsibilities

  • Assist with M&A transactions, including diligence, drafting NDAs and other relevant documents
  • Assist compliance function, including monitoring of legislation and regulations, as well as review and implementation of policies
  • Engage with Cvent’s Technology team to ensure compliance with data security requirements enforced by various jurisdictions and customer
  • Provide support for other special corporate projects

Here's What You Need:

  • J.D. degree from an accredited, top tier law school
  • Admission to a State Bar, and in good standing with the Bar association
  • 5+ years’ total experience supporting a sales team to draft and negotiate Enterprise-level technology contracts.  SaaS contracts experience is required
  • Demonstrated negotiation skills
  • Working knowledge and experience with commercial contract terms and conditions with particular emphasis on the protection of intellectual property, confidentiality and minimizing liabilities and risks
  • Proven analytical and written verbal communication skills
  • Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment. Accuracy and attention to detail are essential requirements for this position.
  • Strong multitasking skills to be able to move and track multiple projects to completion
  • Strong interpersonal and organizational skills and able to work well with a team
  • Ability to communicate clearly, concisely and professionally with all levels of management regarding complex employment legal issues.
  • High integrity and an unyielding commitment to compliance
  • Proficient in Salesforce.com
