Job Description

Ares Management Corporation (NYSE: ARES) is seeking a highly organized, quick-thinking and proactive paralegal (“Paralegal”) to join its legal team of 50+ attorneys and other legal professionals. The successful candidate will thrive in a fast-paced environment requiring mental agility and the ability to juggle multiple tasks and shifting priorities while maintaining a high level of attention to detail. The Paralegal will provide day-to-day support to the Secondaries Legal team with respect to a variety of recurring tasks and discrete projects.

 

The Paralegal will work on transactions and assist with the formation of funds across Ares’ secondaries private equity, credit, real estate and infrastructure verticals, including attending to AML-KYC requests. As such, experience with legal work is expected and familiarity with legal matters relevant to private equity funds is highly preferable. The Paralegal should possess excellent interpersonal, written and verbal communication skills, attention to detail, organization and time management skills and be a “good corporate athlete” with a great attitude who can work autonomously and anticipate needs in a fast-paced environment. A successful individual in this role will be a proactive self-starter who is comfortable speaking up and running with projects; all while demonstrating strong integrity and professionalism in dealing with both internal and external stakeholders. This role will also require an understanding of the Ares Management platform as a whole and how legal/business issues in the Secondaries Group can impact the entire platform.

PRIMARY FUNCTIONS AND RESPONSIBILITIES

The Paralegal will be charged with facilitating the efficient functioning of the Secondaries Legal team to enable the timely delivery of high-quality legal services to investment professionals and other functional groups (finance/accounting, investor relations, compliance, etc.) in New York.

 

Critical tasks include:

  • Assist with all aspects of the organization and closing of private funds, separately managed accounts and investment transactions;
  • Manage formation and dissolution of entities, including corporations, LLCs and partnerships;
  • Manage Know Your Client, Anti-Money Laundering requests for underlying investments, including redacting documents and working with various administrators to furnish requested documents;
  • Organize and maintain files, databases, lists and registers relating to fund entities and transactional, regulatory and other legal matters; 
  • Manage registrations and filing requirements relating to private investment funds; and
  • Collaborate with Compliance team to clear conflicts on investment opportunities.

 

QUALIFICATIONS

  • Oversee entity management process, including entity formations, dissolutions, governmental filings and regulatory compliance;
  • Validate and enrich entity information in the firmwide entity database;
  • Review and allocate entity maintenance invoices;
  • Assist with new entity and fund onboarding and account openings;
  • Ensure our legal records are highly organized and complete so documents are easily accessible to users when needed;
  • Prepare resolutions, written consents, certificates and other entity documentation and assist with other tasks to ensure all entity legal formalities are observed;
  • Assist with improving standard forms / precedents and processes;
  • Additional business -related projects as needed.

 

Education/Certification

  • Bachelor’s degree required.
  • Paralegal certificate from an ABA-accredited program or equivalent qualification required.
  • Notary public preferred.

 

Experience

  • Minimum of 2 years of experience functioning as a paralegal.
  • Substantive experience working within a regulated industry, at a law firm or in an in-house legal department is required. A background in asset management (private equity, specifically) is valued.

Compensation

The anticipated rate for this position is listed below. Total compensation may also include a discretionary performance-based bonus.

 

$35 to $40 per hour
