Purpose: The In-House Counsel oversees legal activities for the business and is responsible for providing expert legal advice and counsel in conjunction with contracts/real estate purchases/divestitures, merger and acquisitions, procurement contracts, asset protection, and strategic and tactical matters. In addition, the position will handle complex agreements for operations as well as provide general and employment law guidance including compliance with federal, state and local employment laws, employment issues associated with corporate acquisitions and divestitures, diversity issues and wage and hour compliance. The In-House Counsel also manages the engagement and services provided by outside counsel. Requirements and Essential Functions:

  • Must have recent commercial real estate transactional experience
  • Prior experience practicing in the commercial real estate department of a corporate law firm, with a commercial real estate boutique firm, or in-house with a commercial real estate development company is preferred.
  • Experience handling the due diligence process for commercial real estate transactions.
  • Proven knowledge of Draft Contracts.
  • Identify, analyze, and advise on all legal issues for the organization, balancing legal issues with business risk. Identify legal and enterprise risk and required internal controls and processes to ensure that the organization maintains compliance with the law, with sound business practices and with ethical requirements.
  • Draft and assist in the training and implementation of processes and procedures designed to accomplish this goal. Engage and manage the activity of outside counsel, with the goal of minimizing the organization’s legal costs and obtaining highest quality services.
  • Adapt strategic model to specific and varied local legal, regulatory and business requirements, often across multiple disciplines and in cooperation with the company’s business units.
  • Assist with the negotiation of real estate acquisitions and of financing agreements with various investors.
  • Manage all legal aspects of acquisition and financing transactions and act as transaction coordinator.
  • Advise on and provide support for construction law matters, including risk mitigation, externalizing liabilities, optimizing change order provisions, insurance, etc. and minimizing warranty exposures.
  • Manage all of the organization’s litigation (including claims by third parties which did not reach the litigation stage).
  • Work with the appropriate business units to resolve claims, contract disputes and litigation, including by providing any needed legal advice.
  • Coordinate with the company’s insurance broker and insurance carriers on claims covered by the company’s insurance policies.
  • Establish and maintain claims reporting procedures. Work closely with the Company’s Risk Management function to identify risk and ensure that risk is mitigated by either adequate insurance or internal risk retention.
  • Implement and maintain a document management system and document retention processes and procedures.
  • Implement and maintain a contract management and contract compliance system. Establish a database of various corporate documents, form agreements, templates, and contract clauses applicable to the organization’s various business units.
  • Advise and assist Human Resources in drafting and revising employment policies as well as providing guidance on general and sensitive personnel matters such as discipline and terminations, investigation of internal complaints of discrimination and harassment and employee leaves and accommodation requests.
  • Draft and negotiate employment-related agreements, including offer letters and retention and separation agreements.
  • Remain abreast of employment-related legislation and significant court decisions and recommend policy modifications based on changes in the law.
  • Provide support for other corporate functions, including matters involving employee benefits, regulatory compliance, privacy and internal investigations.

Qualifications: Juris Doctor degree from an ABA accredited law school. Licensed Attorney in the State of Florida and membership with the Florida State Bar. Law firm experience drafting, negotiating, and executing real estate transactions and must have experience with leading the charge on acquisitions. Job Type: Full-time Salary: $100,000.00 per year. Non Negotiable
