We are seeking an experienced and highly skilled General Counsel to join our team on a part-time basis. Common responsibilities include (but are not limited to):

As our General Counsel, you will play a critical role in ensuring legal compliance and providing legal guidance to support our business operations. Your responsibilities will encompass, but are not limited to:

• General Counsel Functions: Manage and oversee the company's legal functions, which may include engaging and supervising outside counsel when necessary
• Contract Preparation and Review: Prepare new agreements required for acquisitions (Assets/Stock-Domestic/Foreign), review and amend existing contracts, including Terms of Service, Privacy Contracts, and employment agreements
• Mergers and Acquisitions: Provide expert legal support for our mergers and acquisitions activities, including conducting due diligence and participating in contract negotiations
• Trademark Management: Register and renew trademarks to safeguard our intellectual property rights
• Intellectual Property: Supervise intellectual property-related matters, encompassing IP rights and addressing issues related to copycat websites through cease and desist orders
• Litigation Support: Offer assistance in any litigation issues that may arise
• Partnership Agreements: Prepare and review partnership agreements, addressing any law-related questions and ensuring legal compliance
• Legal Compliance: Ensure the company's compliance with various legal areas, including employment law, contract law, and regulatory matters

Requirements

• Juris Doctor (JD) degree from an accredited law school
• Active bar membership in State or Jurisdiction
• 10+ years of experience in corporate law, with a strong emphasis on mergers and acquisitions, intellectual property, litigation, contract, and employment law
• Demonstrated success in managing and overseeing complex legal matters
• Excellent analytical and problem-solving skills
• Strong written and verbal communication skills
• Ability to work both independently and collaboratively within a team

Bonus points if you also have:

• Experience with SaaS companies and technology law.
• Experience with international law

Location

This is a part-time remote position - our team is spread around the globe! Our home base is in Florida, USA, so company operating hours are 9am - 5pm ET (UTC -5). We are seeking someone who can commit 20 hours per week to handle any legal matters that arise or need attention.
