Overview

Collage Group is seeking a Corporate Counsel to join our innovative and growing team in our mission to help organizations unleash the power of culture to drive brand growth at a time when America is undergoing a seismic cultural transformation. This position will help Collage Group do the right thing the right way, make better decisions, understand, and manage risks, and creatively navigate challenges, both externally and internally.

The Corporate Counsel will partner with team members to provide guidance on an array of matters, including corporate governance, negotiating and drafting contracts, risk management, and the development of plans and policies.

What You Will Do

  • Providing accurate, relevant, and timely advice to your employer and other members of staff on a variety of legal topics that relate to our business
  • Drafting, reviewing, and negotiating all standard SaaS commercial agreements.
  • Oversee, streamline and negotiate various agreements, including NDAs, engagement letters, vendor service agreements, MSAs, service provider agreements, commission agreements, terms of use and customer communications.
  • Collaborate with privacy counsel to ensure compliance with GDPR, CCPA and other data privacy laws through oversight of Data Protection Agreements with vendors.
  • Managing and mitigating legal risks by designing and implementing company policies and procedures.
  • Ensuring compliance with all laws and regulations that apply to the business.
  • Promoting legal, compliance and risk management best practice throughout the company.
  • Communicating with and managing any third-party such as external counsel or auditors.
  • Designing and delivering legal training to the business.
  • Collaborate with departmental leadership and key stakeholders across the business in overseeing and ensuring legal compliance across the business.
  • Keep current on the latest legal operations industry trends and developments.
  • Other duties as assigned.

What You Have Done

  • Bachelor’s degree (Law degree and/or MBA preferred)
  • 5+ years of experience in legal operations or a related field
  • Excellent understanding of Salesforce.com, DocuSign, Jira, Google suite and Microsoft suite
  • Experience commercial contracts, pricing strategies, or and professional services practice management approaches
  • Worked through ambiguity or uncertainty and ability to adjust to evolving priorities and business needs in a rapid-moving environment
  • Have a knack for working independently and collaboratively, proactively identifying areas for improvement, generating action plans, and putting those plans into action to serve the department and company
  • Outstanding analytical, communication, and organizational skills
  • Strong understanding of litigation and transaction matter lifecycles
  • Proven track record of making an impact through developing and completing strategies and delivering key results
  • Strong ability to communicate concisely and effectively with a wide variety of audiences, including senior management and key partners
  • Capacity to think strategically and creatively to identify issues and develop long-term solutions
  • Coordinated and managed projects across various business departments
  • Hold a high degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Excellent managerial, analytical, and interpersonal skill
  • Excellent critical thinking and evaluation skills
