Corporate Counsel

The Corporate Counsel provides legal support for Vestas, the leading global provider of wind power plant solutions, in the United States and Canada. The Corporate Counsel: drafts, reviews, and negotiates onshore wind power plant sales, maintenance, supply chain and other related agreements; effectively supervises external counsel where necessary; interacts with global legal and business colleagues on multi-jurisdictional transactions and initiatives; and advises clients on complex transactions and interesting legal issues. This position will support Vestas’ onshore sales business unit headquartered in Portland, Oregon and other business units throughout the United States as needed. This position will report to the Legal Director – Onshore Transactions, North America.

Responsibilities

  • Draft, review, and negotiate complex agreements that accurately reflect the commercial and legal decisions and comply with company guidelines and preferences;
  • Effectively supervise and manage external counsel when needed on sales and service transactions and specialist legal advice;
  • Examine complex situations and provide practical, timely and accurate legal advice;
  • Work closely and effectively with General Counsel, senior management, other company lawyers and employees of all levels and cultures within a global organization;
  • Develop and implement programs to educate and train business teams on legal issues;
  • Develop and implement systems, processes, guidelines and forms to increase the efficiency of the delivery of legal services;
  • Perform the Essential Functions listed below; and
  • Perform all other responsibilities as assigned.

Qualifications

  • J.D from an accredited law school or international equivalent, member in good standing of at least one US state bar.
  • Minimum seven years of experience practicing law. Knowledge of commercial law and experience with complex transactions.
  • Client service orientation.
  • Solid negotiating, drafting, and communication skills.
  • Experience with energy, capital equipment, construction, or real estate contracts. (Preferred)
  • Familiarity with project finance principles. (Preferred)
  • Ability to effectively influence and communicate within all levels of a global organization, as well as with external customers.
  • Ability to excel in an exciting and complex work environment.
  • Ability to prioritize among competing urgent matters and allocate resources for maximum impact.
  • Ability to examine complex problems and apply legal principles, facts and precedents to recommend adoption of an effective, practical and proper course of action.

Competencies

  • Proficiency in Microsoft Office and other legal and contracting software programs;
  • Effectively and accurately communicate legal concepts with outside lawyers, company lawyers, customers, and internal clients;
  • Effectively and accurately draft, review, and negotiate complex contracts;
  • Effectively supervise external counsel; and effectively assist the General Counsel.
