THE POSITION

The Genentech Corporate Law team is seeking a Senior Counsel position who will report to the Head of the U.S. Business Law Group; this role will advise and represent the company in corporate governance, venture financing, mergers and acquisitions and other general corporate matters. This position will be based onsite in South San Francisco, California or Little Falls, New Jersey and does not include fully-remote as an option, nor relocation benefits.

 

Key responsibilities will include but not be limited to: 

  • Providing legal support for all governance and corporate secretary activities in support of Genentech, the Genentech Foundation, and U.S. Roche entities (including state qualification and withdrawal filings, preparing and filing annual reports with Secretaries of State, drafting resolutions and minutes and handling dissolutions).

  • Providing and overseeing legal work in support of local and globally-driven mergers, acquisitions, equity investments, divestitures, and financing matters on behalf of Roche (including conducting corporate due diligence, drafting stock purchase and investor agreements and managing SEC reporting).

  • Serving as a strategic legal advisor to business leaders on a broad range of general corporate and business matters such as conflicts of interest, insider trading, antitrust and third-party bankruptcy risks. 

  • Providing counsel to the Roche Venture Fund.

  • Providing support to the licensing team on matters involving US governance matters, antitrust, integration, CFIUS filings, and equity investments.  

  • Providing strategic advice and legal support for FTC, FINRA and other corporate investigations.

  • Advising on industry consortia activities and governance involving the Roche Group.

  • Fostering strong relationships with client groups and creating efficient and effective processes for working with clients.

 

For this position, we are seeking an attorney with the following qualifications: 

  • JD with an appropriate California state license or the ability to register as California in-house counsel based on admission in another state.

  • At least 7 years of relevant legal experience, with at least 4 years at a law firm.  

  • The ability to work global working hours is required, frequently being available as early as 6 a.m. Pacific Standard Time, or earlier for East Coast candidates.

  • Prior experience working within a life sciences company is preferred, but not required.

 

Strategic M&A Expert:

  • Well rounded corporate and transactional legal practitioner. Has thorough familiarity with a variety of transaction structures in both private and public contexts, including stock purchases, asset purchases, joint ventures and other equity investments, both in the US and cross-border.  Experience advising on merger control issues and in drafting and submitting HSR notification forms is preferred.

  • Experience with licensing transactions is helpful though not required, but a willingness to learn is a must.

  • Confidence in delivering training to legal and non-legal colleagues.

 

Influential Communicator:

  • Ability to deliver clear and practical advice regarding challenging legal issues to legal and non-legal colleagues, including senior management, clearly and concisely.

  • Good judgment and interpersonal skills, and the organizational savvy and diplomatic sensitivities to effectively collaborate with multidisciplinary, diverse and global colleagues.

  • Excellent verbal and written communication skills.

 

Systems-wide Collaborator:

  • Experience working with complex and global organizations and advising senior business and legal leaders.

  • Strategic and creative thinker who is able to identify needs and opportunities in a large, complex and global organization.

  • Willingness to participate in internal and external advocacy efforts, industry panels and thought leadership.  

 

Relocation benefits are not available for this job posting.

The expected salary range for this position based on the primary location of California is $198,500 to $368,600.  Actual pay will be determined based on experience, qualifications, geographic location, and other job-related factors permitted by law.  A discretionary annual bonus may be available based on individual and Company performance.  This position also qualifies for the benefits detailed at the link provided below.
