Position Overview The Corporate Counsel, Transactions primary duties are: (i) to draft and negotiate a wide variety of commercial agreements that facilitate business objectives while mitigating risk, (ii) to successfully and effectively develop, implement, and manage contracting processes; and (iii) provide support for a wide variety of other corporate and transactional matters.


Essential Job Duties/Responsibilities:

  • Oversees contract automation and management systems in collaboration with the Legal Operations Manager and leads continuous improvement projects for contract templates, playbooks, processes, and systems.
  • Prepares, reviews, edits, negotiates, and manages a wide variety of commercial agreements, including supply agreements, customer agreements with healthcare practitioners and private label clients, distributor agreements, NDAs, event, vendor, and independent contractor agreements, IT SaaS agreements, professional services agreements, trademark license agreements, agency and marketing services agreement, equipment purchases and leases, commercial real estate leases, etc.
  • Establishes, tracks, and consistently delivers against KPIs for contracting service levels.
  • Supports various corporate and transactional matters and projects depending on the needs of the business, which may include privacy, real estate, corporate governance, M&A, intellectual property, and other matters.
  • Other duties as may be assigned from time to time.

  • Proficiency with Microsoft Office/Teams applications, and the ability to quickly learn and adapt work habits to new software and systems, including legal research, matter management, project management, generative AI applications, and contract and legal operations platforms.
  • A limited amount of travel may be required depending on the needs of the business.

Requirements

  • J.D. from an ABA accredited law school with strong academic credentials.
  • Licensed to practice law in any U.S. state.
  • Ability to obtain Authorized House Counsel status in Florida, if not licensed in Florida.
  • At least 3 years of professional experience as an in-house attorney working for private or public companies.
  • Commercial transactions experience, including knowledge of contract law and experience drafting and negotiating a variety of commercial agreements.
  • Strong negotiating skills with both legal and financial/commercial issues.
  • Privacy experience a plus.
