About the Role:

As Corporate Counsel, under the guidance and direction of the VP Corporate Legal, you will provide legal support to the company and assist the Corporate Legal team in a wide range of corporate legal matters. The ideal candidate must possess strong research, writing, and communication skills and also be able to deal with multiple tasks at the same time.

The candidate must have excellent business judgment and strategic thinking and the ability to work independently as well as collaboratively in a collegial, fast-paced team environment. Sitecore’s business spans the globe and requires an experienced, dynamic and team-oriented legal counsel.

What You’ll Do:

  • Manage and oversee subsidiary governance projects in 35+ entities worldwide (entity changes, wind-downs, director changes etc.)
  • Oversee, communicate and coordinate with external local counsels on corporate legal projects
  • Conduct and manage subsidiary governance meetings for the Company’s Subsidiary Governance Committee
  • Be primary responsible for establishing and maintaining the Company’s corporate records, document repositories, filing systems and document retention policies
  • Conduct legal research and provide legal advice on various corporate law issues, such as corporate governance, subsidiary governance and related matters, including preparing relevant corporate legal documents and memorandums
  • Provide corporate documents and information to key stakeholders upon request
  • Collaborate with other departments, such as finance, sales, human resources, tax, procurement and global workplace to support on cross-functional projects
  • Manage work templates, guidelines, and libraries
  • Support other general corporate and M&A matters and special projects from time to time

What You Need to Succeed:

  • 3+ years of relevant law firm and/or in-house experience within corporate law and subsidiary governance (including managing of subsidiary entities, if available)
  • Strong verbal and analytical skills, along with excellent drafting skills
  • Demonstrate a customer oriented and a positive, ‘can do’ attitude, balanced with honesty, integrity, and trust-building behaviors in all dealings
  • Be team-oriented, and comfortable working with a growing legal team
  • Ability to interact comfortably with senior management
  • Solid business acumen and the ability to manage several simultaneous projects under deadline pressure are required
  • A strong attention to details and a strategic awareness
  • Exceptional interpersonal skills and a commitment to professionalism and collegiality
  • A good sense of humor and willingness to travel occasionally
