Job Summary:

As a Senior Corporate Counsel for Channel Sales, your primary focus will be providing comprehensive legal support to our brokerage and channel sales organization. You will collaborate with cross-functional teams to ensure that all applicable regulatory, licensure, and operational requirements are follows.  In addition, you will collaborate with applicable business units to ensure that all contracts and agreements are drafted, reviewed, and managed effectively. This role demands a keen eye for detail, a deep understanding of insurance, brokerage, and contract law, and a proactive approach to problem-solving.

Essential Duties/Responsibilities:

  • Contract Drafting and Review: Draft, review, and negotiate a wide range of agreements, including brokerage agreements, channel partner agreements, distribution agreements, reseller agreements, and more, to ensure legal compliance and alignment with company objectives.
  • Regulatory Guidance: Analyze and advise applicable business units regarding the creation, licensure, and operation of brokerages, channel referrers, insurance-licensed entities, and its personnel under applicable state and federal laws governing brokerages and insurance-licensed entities.
  • Legal Guidance: Provide legal guidance to the channel sales organization to help them navigate complex legal issues, risks, and compliance matters related to contracts and agreements.
  • Risk Assessment: Assess and mitigate legal risks associated with channel and broker sales activities, proactively identifying potential issues and recommending solutions.
  • Regulatory Compliance: Stay up-to-date with relevant laws, regulations, and industry standards to ensure that the company's channel sales practices remain compliant.
  • Training and Education: Conduct training sessions and workshops to educate channel sales teams on legal best practices and the importance of adhering to contractual obligations.
  • Dispute Resolution: Assist in resolving disputes with channel partners and third parties by providing legal support and negotiating settlements when necessary.
  • Legal Documentation: Maintain accurate records of all legal documentation, correspondence, and communications related to channel sales.
  • Collaboration: Collaborate with internal stakeholders, including sales, marketing, finance, and compliance teams, to ensure that contracts support the company's strategic goals.
  • Performs other duties as assigned.
  • Complies with all policies and standards.

Qualifications:

  • Bachelor's Degree or equivalent experience, advanced degree preferred.  Juris Doctorate required.
  • Brokerage Health Insurance Licensing expertise - strongly preferred.

Work Experience:

  • 7 years as a practicing attorney, with a focus on insurance regulatory compliance, contract law, and commercial transactions.

Knowledge, Skills and Abilities:

  • Proven experience in providing strategic legal counsel and handling commercial transactions
    Proven experience in counseling insurance-regulated entities
    Strong negotiation, drafting, and communication skills.
    Strong knowledge of contract management and contract lifecycle processes.
    Familiarity with channel sales and distribution agreements.
    Excellent analytical and problem-solving abilities, with attention to detail.
    Leadership skills, with the ability to work independently and manage legal projects.
    Ability to thrive in a fast-paced and dynamic corporate environment.
    Strong business acumen and the ability to balance legal considerations with business objectives.

The salary range for this role is $149,100 to $294,000. The candidate’s final salary offer will be based on the candidate’s skills, education, work location and experience. 

A candidate’s compensation may also include bonuses consistent with TriNet’s corporate bonus plan.
