Corporate Paralegal -In- Office, Miami, FL

WHAT YOU’LL DO: 

Your role as a Paralegal is (1) to manage general corporate housekeeping matters including entity formation, entity dissolution, entity foreign qualifications, D&O maintenance, DBAs, obtaining EINs and (2) to assist the legal team in managing day to day operations as needed, including legal invoicing, managing various trackers, such as litigation and immigration trackers, and managing legal templates.  

WHAT WE ARE LOOKING FOR: 

The right person for our Corporate Paralegal position will have at least three (3) years of law firm or in-house experience with a focus on corporate governance, document management and assisting in corporate transactions. Some litigation and employment (including immigration) experience is a plus (but not necessary). The ideal candidate will also be a quick and eager learner who is looking for a long-term position with a close-knit team. This role requires self-motivation, ownership mentality, effective communication, independent judgement, and excellent client-relationship skills. You will succeed in this role if you are a highly organized, driven, and analytical individual seeking exposure to a complex organization in growth mode.  

We are looking for an independent problem solver with a can-do attitude, an elevated level of attention to detail and general information technology and business acumen.  

Based in Miami, FL, you will report directly to our General Counsel.  Over time, you will have the opportunity to highlight your communication skills and work regularly with our senior management. 

ESSENTIAL DUTIES AND RESPONSIBILITIES: 

  • Corporate Governance: Set up, maintain minute books and records of, and dissolve corporations, limited liability companies, and partnerships worldwide; Draft and file, when applicable, documents such as articles of incorporation, bylaws, board and shareholder minutes, consents, stock certificates, and powers of attorney; Assist with public corporate board activities, including preparation of Board materials for Board meetings and minutes; Manage various aspects of the process for preparing and executing the annual stockholders meeting, including coordinating logistics, liaising with third party vendors and preparing various meeting and public company filing materials; Manage KYC and AML requests and global annual regulatory filings. 
  • Corporate Administration: Responsible for assisting with legal updates to internal and external auditors and the Board of Directors; maintaining filing system for legal and corporate governance records; drafting correspondence; and providing general administrative support. Develop and enforce processes and policies to manage outside counsel usage and spending. Review legal invoices and onboard law firms with engagement letters and billing guidelines. Assist with budget matters and optimize workflows within the legal department. 
  • Employment Law Support. Assist in drafting separation agreements, contractor agreements, and responses to employment related matters.  
  • Record Maintenance. Maintain legal documents, including confidential records, in secure folders with attention to detail and organization. Support in the maintenance of an immigration tracker for tracking the immigration status of company employees.   
  • Transaction and General Support: Review nondisclosure agreements. Prepares correspondence and billing summaries as needed.  Works cooperatively and collaboratively with other departments and individuals in the company. Provides assistance to the legal team and performs other related duties as assigned.  

WHAT YOU’LL BRING:  

  • 3-7 years of paralegal experience, preferably initially in a reputable commercial or corporate law firm and then within an in-house legal department, but either are acceptable. Paralegal certificate preferred. 
  • Experience with CSC or other similar entity management software platform. 
  • Experience with US and International global entity management and global regulatory filings. 
  • Advanced computer skills: Mastery of Adobe Pro, Microsoft O365, SharePoint, DocuSign, Salesforce, and other commonly used business software to support the requirements of the legal department. 
  • Ability to work efficiently and handle multiple high priority matters at any given time. 
  • Strong analytical, negotiating, writing and communication skills with excellent interpersonal communications skills (written and verbal) required. 
  • High-level of maturity, independent judgment, and professionalism, including the ability to remain calm and productive under pressure; A positive 'can-do' attitude and strong sense of ownership over duties and responsibilities; Ability to effectively interface with various internal and external parties, including senior management and Board members. 
  • Team player who can also work independently and thrives in a fast-paced environment. Work beyond normal business hours is required occasionally to support business needs or projects. 
  • Some experience with non-disclosure agreements, litigation and IP is a plus. 
  • Some understanding of employee and immigration law is a plus.
