Job Description

This is a 100% in office position located in Las Vegas, NV.

INTRODUCTION

Vanguard Integrity Professionals is a global cybersecurity and software company that helps global corporations, federal agencies, and state governments, secure their mainframe systems.

DUTIES

During your role as General Counsel, you will be responsible for the following:

  • Legal Advice and Counsel. You act as the primary advisor for the corporate business group, and you identify and anticipate highly complex legal and/or other issues; you serve as a key business partner and advisor to executives and advise them on the potential impact of legal questions and new regulations on the business; you identify and engage stakeholders in the Human Resources, Sales and Marketing, Customer Relations, Compliance, and escalate and drive decisions.
  • Contract Review. You structure, draft, redline and negotiate a wide variety of transactional documents relating to the distribution, sales, licensing, and marketing of Vanguard software and services (including SLAs, MSAs, DSVs, TAPs, etc.).
  • Department Management and Solution Implementation. You develop solutions that anticipate and mitigate legal and other risks; you manage the day to day operations of your department and give guidance with your direct report(s); you manage and develop relationships with outside counsel and clients to create strategic and innovative solutions that address issues and achieve business objectives; you provide feedback and evaluate process improvements that increase efficiencies.
  • Corporate Governance. You give guidance and advise on the overall corporate governance group, executive benefits and compensation, international regulations, insurance, and work directly with the board on fiduciary duties.
  • Compliance and Risk Management. You collaborate with various departments on a variety of legal and regulatory issues, including vendor management, vendor questionnaires, third party risk assessments, and global data privacy and cybersecurity regulations; and handle escalations and resolve negotiation roadblocks in an efficient manner, within a designated turnaround time.

Qualifications & Educational Requirements

Required/Minimum Qualifications:

  • Juris Doctorate Degree or Equivalent International Degree
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction
  • A minimum of five years of experience as a practicing attorney

Additional or Preferred Qualifications:

  • Experience as an attorney in a specialized practice area (e.g., employment, SaaS, tax, trademarks)
  • Previous experience with the technology software industry
  • In-house counsel experience
