Position Overview The Legal Counsel will assist on day-to-day legal matters and will work closely with Senior Legal Counsel. The Legal Counsel for eClinicalWorks will assist in negotiating and drafting commercial contracts and advising business teams on laws and regulations that may impact internal teams and products. This position will also assist with a range of other matters which would include anti-corruption and health care laws, intellectual property, privacy and artificial intelligence, litigation, marketing and promotions and dispute resolution. Assistance will be provided on special projects with other departments as needed. Job Functions/Responsibilities

  • Responsible for providing ongoing advice and support related to a wide variety of commercial contracts, including the drafting, review, and negotiation of master service agreements and security addendums with payors, software license agreements, development and partnership arrangements, confidentiality agreements, and business associate agreements
  • Provide leadership and legal advice on a range of legal matters, including contracts, marketing and promotions, anti-corruption, health care regulatory guidance, artificial intelligence, and general corporate matters
  • Lead, anticipate, and drive solutions for a range of legal and business issues
  • Provide advice regarding customer and other commercial/business disputes
  • Review, develop, implement, communicate, enforce, and monitor contract review compliance as well as other processes, policies, and procedures
  • Work closely with Senior Legal Counsel and outside counsel on relevant matters
  • Participate, interact, and engage on sales or vendor related negotiations
  • Review and respond to subpoenas or other legal documents that are received in the ordinary course of business
  • Conduct legal research as needed
  • Assisting in the implementation of legal processes required to determine the privileges, obligations, and rights of the organization
  • With the assistance of Senior Legal Counsel and/or external counsel, determine the advisability of initiating or defending a lawsuit
  • Assisting in the application for registration or copyrights of the products, devices, processes, and trademarks of the organization
  • Perform other duties as assigned

Requirements

  • Juris Doctor from accredited university is required
  • 4+ years of direct experience with commercial contracts and business law background, including at least 2 years of relevant legal experience in a law firm or in-house legal department is required.
  • 2+ years of experience developing and implementing legal solutions is highly preferred.
  • Member in good standing with the Massachusetts Bar or other state
  • Mix of law firm and in-house experience is preferred.
  • Health law experience strongly is preferred.
