Regional law firm based in the San Fracisco Bay Area has an immediate opening for a Venture Capital Attorney! This Venture Capital Attorney will join the firm's Corporate Practice Group, reporting to a Partner. The firm is committed to excellence and innovation, establishing a reputation for delivering strategic counsel and facilitating successful transactions. As a Venture Capital Attorney, you'll work with leading startups and venture capital firms, focusing on venture capital financing, mergers and acquisitions, and general corporate governance matters. The firm is seeking to hire this VC Attorney on a contract basis with flexible hours that can be completed on a 100% remote basis. If you're looking for work with a flexible schedule, this is the position for you! The ideal candidate will have 5-10+ years of venture capital experience in in attorney capacity in the Silicon Valley and will be licensed in either California or New York.

Responsibilities

  • Reviewing and drafting a wide range of legal documents related to venture capital transactions, including term sheets, investment agreements, and shareholder agreements.
  • Conducting thorough due diligence on potential investment opportunities and providing strategic legal advice on deal structuring and negotiation.
  • Advising clients on corporate governance best practices, board resolutions, and regulatory compliance issues.
  • Collaborating closely with partners and associates to support client needs and ensure timely and effective transaction execution.
  • Staying abreast of industry trends, emerging technologies, and regulatory developments relevant to venture capital and startup financing.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in New York or California (NY or CA Bar membership required).
  • 5-10+ years of experience in corporate law, with a focus on venture capital transactions and startup representation in the Silicon Valley.
  • Demonstrated expertise in structuring and negotiating venture capital deals, including equity investments, convertible debt, and preferred stock offerings.
  • Strong understanding of securities laws, tax implications, and regulatory considerations affecting venture capital investments.
  • Excellent communication, negotiation, and interpersonal skills, with a proven ability to build rapport with clients and colleagues.
  • Detail-oriented with a commitment to delivering high-quality work in a fast-paced environment.
