Merger Advisory Legal is looking for an experienced M&A attorney to support the Investment Banking business unit (IB) within Goldman Sachs Global Banking & Markets in connection with its M&A financial advisory assignments. This attorney will provide general legal advice on M&A matters to (x) IB, as well as provide legal counsel to its Fairness Committee, which oversees material M&A assignments, (y) the Firmwide Strategy Group within the Executive Office in connection with the firm’s strategic acquisitions and divestitures and (z) the firm’s Conflicts Resolution Group. The position offers the opportunity to sit within the M&A Group in IB and partner with senior M&A bankers to oversee the execution of material M&A transactions, including the analysis of legal, reputational and valuation issues as part of the Fairness Committee processes.

Responsibilities

 

  • Provide strategic legal advice to bankers in IB related to M&A matters.
  • Provide legal oversight in connection with the: (i) delivery of fairness opinions (including related financial analyses) and (iii) public disclosure of Goldman Sachs’ advice and analysis, including:
    • Review fairness opinions and related financial analyses, board materials and disclosure documents/regulatory filings, and
    • Review transaction agreements
  • Analyze M&A transactions from a legal and financial perspective, focusing on, among other things, transaction terms, structure and valuation methodologies.
  • Review and comment on transaction documents related to strategic M&A transactions, including purchase agreements and related ancillary agreements, as well as assist with managing the M&A process internally
  • Coordinate and collaborate with a diverse set of stakeholders to identify and help mitigate legal and reputational risks, including through conflicts disclosure.
  • Instruct/work with/manage external counsel.

Qualifications

 

  • 4+ years’ post qualification mergers and acquisitions experience at a leading law firm.
  • J.D. required; Active member of one State Bar in good standing.
  • Knowledge of valuation methodologies, accounting and/or corporate finance preferred.
  • Excellent communications skills, in particular the ability to communicate complex concepts clearly and simply, and to present clear choices.
  • Team player with inherent commercial judgment and strong analytical skills.
  • High attention to detail with strong organizational skills and the ability to manage several simultaneous projects under deadlines.
  • Team-oriented with ability to respond and be flexible to client demands while adhering to firm policies and group practices.
  • Ability to engage proactively as an advisor to the business and collaboratively work with other control areas.
  • Self-starter, strong work ethic and personal accountability.

Salary Range

The expected base salary for this New York, New York, United States-based position is $170000-$270000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
