Job Description

AbbVie seeks a Corporate Governance Paralegal to join the Legal Division's Corporate Legal and Governance team. This position reports to the Associate Counsel, Corporate Legal and Governance, and manages global affiliates (e.g., LATAM, JAPAC and MEA) governance matters to ensure compliance with applicable laws.

 

Core Responsibilities:

  • Serves as key internal point of contact for responsible jurisdictions and helps facilitate information requests from global affiliates and/or other functions to enable continued compliance with all applicable legal requirements.
  • Drafts board resolutions, consents, secretary certifications, and other governance documentation, where required.  
  • Assists with the preparation, review, and execution of powers of attorney and/or delegations of signature authority including obtaining legalizations/authentications/apostilles, if needed.
  • Assists, as needed, with mergers and acquisition activity, including the removal/ integration of new affiliates into existing systems.
  • Maintains entity management system, including cleaning up existing records and keeping up-to-date information on entity names, stockholders, directors, and officers/managers, amongst other things.
  • Manages regular review of corporate entities with (as applicable) third-party provider(s), outside counsel(s), internal stakeholders (e.g., Tax), and colleagues in local jurisdictions to ensure accuracy of corporate records.
  • Manages workflow for signature requests on corporate governance matters and company initiatives (e.g., dividend repatriations, acquisitions, dissolutions, etc.).
  • Provides support to company attorneys in connection with special projects, as needed.
  • Stays current on best practices in entity management, and develops templates, plans, and processes.
  • Identifies and executes opportunities to improve efficiencies in relationship to the above tasks.
  • Additional special projects, as needed, such as reviewing and organizing historical documentation related to acquired companies.
  • Significant Work Activities -Continuous sitting for prolonged periods (more than 2 consecutive hours in an 8 hour day)

Qualifications

  • Bachelor’s Degree and/or ABA approved Paralegal Certificate.
  • Minimum 3 years’ experience within a law firm or Legal Department of a corporation, preferably in a corporate governance setting.
  • Discretion and strong communication skills required to effectively gather relevant information from internal and external clients and interact with others, both inside and outside the Company.
  • Strong writing and analytical skills required to independently review, draft, and prepare documents.
  • Strong organizational, project management, and multitasking skills to manage multiple matters, set own work priorities, meet required work deadlines, and follow-up on outstanding requests.
  • Significant contact with outside law firms and service providers and internal clients
  • Outstanding organizational skills, strong attention to detail, and proficiency with Microsoft Office applications. 
  • Familiar with entity management tools (e.g., Diligent) and iManage.
  • Ability to manage multiple tasks and projects with rapidly changing priorities to meet mission critical deadlines.
  • Flexibility to take on special projects and/or additional responsibilities, as needed.

  • The compensation range described below is the range of possible base pay compensation that the Company believes in good faith it will pay for this role at the time of this posting based on the job grade for this position. Individual compensation paid within this range will depend on many factors including geographic location, and we may ultimately pay more or less than the posted range. This range may be modified in the future.​

  • This job is eligible to participate in our short-term incentive programs. ​
