The Corporate Governance and Secretariat function (CG&S) supports delivery of the purpose and strategy through focusing on protecting the bank, connecting the bank, supporting the delivery of strategy, driving informed decision making and simplifying governance. CG&S serves as principal advisor to Boards of Directors on corporate governance matters and leads and implements world-class corporate governance throughout the Group. It is the Vision of the CG&S function to drive world-class corporate governance, through the following 4 pillars:

Discipline and Accountability; Stakeholder Engagement; Simplification; and People, Education and Development The Company Secretary job category provides advice, guidance and support on corporate governance, statutory, regulatory, and best practice requirements across board, director and corporate structure activities. This job category manages a portfolio of companies and enables effective operation of their Boards and Committees, where applicable. This role supports the US and Deputy Corporate Secretary, US in delivering the Company Secretarial function within the US. This job category drives the highest standards of corporate governance globally to support the delivery of Group strategy and to satisfy the expectations of our stakeholders. As our Assistant Corporate Secretary you will: · Provide advice and support to the Board of Directors and senior management of the subsidiary companies of which they are Secretary, on corporate governance and statutory, regulatory and governmental requirements as well as best practice requirements and standards. Primary duties in this regard include the exercise of discretion and independent judgment with respect to matters of significance, seeking guidance only on the most unusual or very complex of matters · Contribute to the achievement of the objectives of the US and Deputy Corporate Secretary, US by ensuring that effective Company Secretarial support and advice is provided to all US companies of which they are Secretary through an appropriate and consistent corporate governance framework · Understand and act upon changes in legislation and regulation within US, with particular regard to the continuing corporate governance obligations of the applicable US companies · Build networks and relationships with key stakeholders. Including, maintaining and developing positive and professional working relationships with the applicable Boards of Directors, senior business managers and members of the global CG&S function · Maintain corporate governance and internal control documents, including but not limited to, Guidelines, Memorandum for Directors, Non-Executive Director induction pack, Director education tracking, Board and Committee rosters and contact lists and post-meeting checklists · Assist with signing authority guidance and related documentation, including secretary’s and incumbency certificates For this role, HSBC targets a pay range between $165,600 and $200,000.

The final fixed pay offer will depend on the candidate and a number of variables, including but not limited to, role responsibilities, skill set, depth of experience and education, licensing/certification requirements, internal relativity, and specific work location.

Qualifications

· Strong knowledge of corporate governance principles, including driving high quality governance standards, via credible and practical experience · Experience of working in a corporate governance function · Experience of working with executive and non-executive directors · Strong inter-personal skills including the maintenance and development of relationships with directors and senior management · Strong organizational, process management and verbal, communication and written skills Collaborative and team player · Proven ability to lead, manage, influence and execute in a challenging and changing environment · Ability to think innovatively with a drive for continuous improvement · Qualified US attorney, licensed to practice law, minimum 5 years of experience as corporate attorney, or will consider paralegals with meaningful corporate governance experience
