Job Description

POSITION TITLE: Paralegal - Corporate Governance & Subsidiary Management

REPORTS TO: VP-Corporate Secretary

Position Summary

Support the office of the General Counsel and Corporate Secretary on corporate governance matters related to the Board of Directors and Stockholders, assist with the Company’s SEC compliance programs, maintain oversight of the Company’s subsidiary structure and assist with all aspects of legal operations.

Responsibilities

  • Corporate Governance Matters:

    • Assist with Board of Directors and Committee meetings including scheduling dates, drafting meeting agendas and coordinating the distribution of pre-meeting materials from Management via on-line board portal
    • Maintain the Company’s on-line board portal including calendars and corporate governance resources
    • Coordinate the routine flow of information/reporting to Directors
    • Coordinate director compensation payments, including maintaining director attendance records
    • Process director/committee annual self-assessments
    • Assist with the annual director and officer proxy questionnaires
    • Maintain corporate governance policies and conduct benchmarking, as needed
  • Compliance Matters:

    • Assist with on-going public company matters, including the proxy statement, annual and quarterly filings and Form 8-K’s
    • Assist with drafting resolutions, consents, minutes, certificates, charters and bylaws
    • Assist with approval of insider trades and maintain related records
    • Coordinate review, printing and distribution of annual meeting materials
    • Assist with the Company’s Annual Meeting of Stockholders
    • Assist with the Company’s quarterly related party transaction certification process
    • Maintain the Company’s corporate governance website
    • Maintain a working knowledge of SEC and NYSE governance requirements
    • Manage the review of invoices and payments to vendors
  • Subsidiary Administration:

    • Assume the role of point person when the business requests legal documents for subsidiary entities
    • Ensure all legal documents are prepared, reviewed, executed and filed (internally or externally) on a timely and organized basis
    • Maintain electronic records for corporate entities within hCue, the Company’s electronic subsidiary management system
    • Engage and direct the work of corporate agents and external subsidiary management vendors
    • Maintain the officer and director listing and prepare resolutions for related changes
    • Support legal entity consolidation and expansion projects
    • Prepare internal agreements between the entities as needed (for respecting the legal entities and transfer purposes)
    • Legal Operations
    • Manage outside counsel billing administration
    • Support legal budget preparation and updates
    • Administer subpoenas and related requests
    • Additional projects and responsibilities as assigned

Qualifications

  • Paralegal certification
  • 3+ years experience dealing with public company matters and legal operations
  • Experience with electronic board portals including proficiency in creating and deploying board books and maintaining resources within the board portal (experience with Diligent preferred)
  • Detail-oriented self-starter with demonstrated ability to interact and communicate appropriately and professionally under pressure with members of the Board of Directors, senior management and Company employees at all levels
  • Team-oriented and collaborative approach
  • Ability to handle confidential information with utmost discretion
  • Demonstrated ability to own and solve problems
  • Exceptional organizational, proofreading, written and verbal communication skills, with strong attention to detail and ability to work under and consistently meet assigned deadlines
  • Ability to maintain a flexible schedule and work in office as needed especially around quarterly board meetings
  • High degree of proficiency Google products, Legal Tracker, hCue & Internet applications

Pay/Benefits Information

  • Actual starting pay is determined by various factors, including but not limited to relevant experience and location.
