We are seeking a highly skilled and experienced General Counsel to join our dynamic team. As the General Counsel, you will be responsible for providing expert legal advice and guidance to the organization, ensuring compliance with laws and regulations, and mitigating legal risks. The ideal candidate will have a strong background in energy project finance, real estate development, construction, corporate law, exceptional leadership abilities, and a strategic mindset to support the company's objectives while upholding ethical standards and integrity. The position will report to REC Solar’s Chief Executive Officer.

Responsibilities:

  • Legal Counsel: Provide legal advice and guidance on a wide range of legal matters, including corporate governance, regulatory compliance, contracts, intellectual property, employment law, litigation, and risk management.
  • Structured Finance : Support the Chief Investment Officer in negotiating and closing various agreements related to the project finance of solar and energy storage projects including tax equity partnerships, back leverage, and construction financing.
  • Contract Review and Negotiation: Review, draft, and negotiate various contracts, agreements, and legal documents to protect the organization's interests and minimize legal exposure such as power purchase agreements with customers, EPC agreements, and real estate site control.
  • Compliance Management: Develop and implement compliance programs to ensure adherence to relevant laws, regulations, and industry standards. Stay updated on changes in laws and regulations that may impact the company's operations.
  • Risk Assessment and Management: Identify legal risks and propose strategies to mitigate them effectively. Proactively assess potential legal issues and develop preventive measures.
  • Litigation Management: Manage and oversee litigation matters, including working with external counsel, assessing litigation risks, and developing strategies for dispute resolution.
  • Corporate Governance: Advise on corporate governance matters, including board matters, corporate policies, and procedures. Ensure compliance with corporate governance best practices and legal requirements.
  • Intellectual Property Protection: Protect and manage the company's intellectual property assets, including trademarks, patents, and copyrights. Develop strategies to safeguard intellectual property rights and enforce them when necessary.
  • Training and Education: Provide legal training and education to employees to increase awareness of legal issues and promote a culture of compliance and ethical conduct.
  • Mergers and Acquisitions: Provide legal support and due diligence for mergers, acquisitions, and other strategic transactions. Draft and negotiate transaction documents and assess legal risks associated with such transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the Bar association.
  • Minimum of 10 years of experience practicing law, with a focus on structured finance for energy projects, preferably in a corporate legal department or law firm.
  • Proven track record of providing strategic legal advice and counsel to senior management and executives.
  • Strong understanding of corporate governance principles, compliance requirements, and regulatory frameworks.
  • Excellent contract drafting and negotiation skills, with attention to detail and accuracy.
  • Demonstrated ability to manage and prioritize multiple projects and deadlines effectively.
  • Exceptional communication, interpersonal, and leadership skills.
  • Ability to work independently and collaboratively in a fast-paced and dynamic environment.
  • High level of integrity, ethics, and professionalism.
  • Experience in the solar and energy storage industry is preferred but not required.
