The American Urological Association (AUA ), the premier urologic association providing support to the urologic community, is currently searching for an experienced and well-connected Associate General Counsel who will be a part of the team in our Linthicum, Maryland office.

Our office is near the BWI airport. We are required to be in the office on Tuesdays/Wednesdays with remote working on Mondays/Thursdays/Fridays.

In General

Under minimal supervision from the Executive Vice President, Chief Legal and Policy Officer and General Counsel (EVP), the Associate General Counsel is responsible for managing the day-to-day legal affairs of AUA and administration of the legal department. With the EVP, performs legal and compliance work for the AUA, Inc. (501(c)6), American Urological Association Education and Research (501(c)3) corporation, Urology Care Foundation (UCF) and AUA Political Action Committee (AUAPAC) (collectively AUA). Provides legal support to various AUA committees, including Judicial & Ethics (J&E) Committee and Bylaws Committee. Provides staff support to the AUA Board of Directors as assigned. Provides legal support and management of AUA entities’ intellectual property portfolios, including legal advice on monetizing same. Is responsible for legal review of all AUA entity transactions in accordance with established policy. Serves as primary point of contact for strategic legal and transactional initiatives to divisions and departments throughout the AUA enterprise. Has primary responsibility for user adoption and operationalization of the contract, legal matter management, and IP management system and staff training on related policies, procedures, and best practices.

Typically

The individual in this position will (see position description for all responsibilities):

  • Supervises support staff, including quality of work product and productivity, professional development and growth, and performance management.
  • Is accountable for the day-to-day operations of the AUA legal department, with assistance from the paralegal, such as:
    • Auditing all legal invoices.
    • Forecasting legal needs and budgets across all departments, divisions, and entities.
    • Continually assessing effectiveness and efficiency of legal service delivery model and recommending, developing, and implementing process improvements, self-help tools, and other resources.
    • Developing, benchmarking, monitoring and reporting on achievement of success metrics for the legal department.
  • Provides day-to-day legal services and support to AUA entities, divisions, and departments with minimal supervision from EVP.
  • Assists the AUA entities in assessing and mitigating legal, business and reputational risks associated with their structure and activities.
  • Provides legal and operational support and strategic counsel for AUA programs, including advice regarding monetization of AUA’s assets (e.g., intellectual property).
  • At the request of the EVP, serves as a legal resource for and provides strategic and operational support to the AUA Board of Directors and CEO, including providing J&E updates at board meetings.
  • Plays a primary role in protecting the nonprofit status and legal integrity of the three distinct AUA corporate entities, assisting in structural planning and drafting necessary amendments to their respective bylaws (in collaboration with AUA’s Bylaws Committee), and assuring compliance with legal requirements for expanding operations of each corporation.
  • Provides legal advice on personnel matters including separations from AUA and serves as a legal and strategic consultant with respect to new human resources initiatives and significant employment disputes.
  • With the EVP and in collaboration with the IT department, develops and implements the AUA’s Artificial Intelligence and similar technology policies, procedures, and review processes to ensure compliance with standards, best practices, and developing law and regulation, and to mitigate risk while empowering business.
  • Drafts, reviews and/or revises contracts, such as affiliation agreements, NDAs, website terms and conditions, grant agreements, sale/purchase of goods/services and other business transactions, develops templates for standard business arrangements and alternative legal-approved language; advises internal clients in contract negotiations, contract risk mitigation, contract termination, etc.

To Be Successful

Role

Candidates must have effective a critical thinker and be proactive. It is essential that the individual in this role must be an effective decision maker and have the ability to work in a fast-paced and deadline-driven environment. The successful candidate will have the ability to manage multiple tasks. In addition:

  • Minimum of 8 years legal experience
  • Supervisory experience (3+ years) strongly preferred.
  • Experience in intellectual property, technology, and contracts strongly preferred.
  • Health care and association law experience a plus.
  • Juris Doctor required.
  • Member in Good Standing of State Bar required.
  • Exceptional attention to detail and accuracy.
  • Excellent organizational skills.
  • Excellent writing skills and ability to develop clear, concise reports.
  • Ability to manage several urgent matters at once and work under pressure of competing deadlines in a fast-paced environment.
  • Ability to make decisions or provide recommendations commensurate with informed risk assessment.
  • Ability to work in a collaborative fashion with diverse staff and volunteer base.
  • Travel availability required for approximately 10 – 15 days annually.
