You Are

UST HealthProof is looking for an Associate Attorney who will play a crucial role in drafting, reviewing, and negotiating various contracts and agreements with our partners and customers.

The Opportunity

As an Associate Attorney at UST HealthProof, this is your opportunity to:

  • Draft, review, and negotiate a wide range of contracts and agreements, including but not limited to o Business Process as a Service (BPaaS) agreements o Software as a Service (SaaS) agreements o Product licensing agreements o Service agreements o Non-disclosure agreements o Vendor contracts o Consulting agreements o Partnership agreements o Business associate agreements
  • Work closely with internal teams, including sales, delivery, compliance, finance, and product team, to understand business needs and objectives and ensure that contracts adequately address requirements.
  • Advise on legal issues related to intellectual property, data privacy, and cybersecurity in the context of contract negotiations and agreements.
  • Assess legal risks and provide guidance on risk mitigation strategies to ensure compliance with applicable laws, regulations, and company policies.
  • Maintain contract templates and standard clauses to streamline the contract review and negotiation process while ensuring consistency and compliance with legal standards.
  • Comply with the organization’s Code of Conduct, all regulatory and contractual requirements, organizational policies, procedures, and internal controls.

What You Need

Candidates should have a strong understanding of contract law, excellent written and verbal communication skills, and the ability to engage with senior-level executives and other stakeholders to ensure that contracts align with company objectives and mitigate potential risks.

  • 3+ years of experience practicing law, with a focus on contract drafting, reviewing and negotiation.
  • Experience in healthcare IT sector is preferred.
  • Juris Doctor (J.D.) degree or equivalent from an accredited law school and active membership in good standing with the bar association.

_Compensation can differ depending on factors including but not limited to the specific office location, role, skill set, education, and level of experience. As required by local law, UST provides a reasonable range of compensation for roles that may be hired in California, Colorado, New York City, or Washington as set forth below.

Compensation Range: $65,000 -$93,000
