This position is for an attorney with:

  • Significant experience in drafting and negotiating power purchase agreements (PPAs), including EEI master agreements and confirmations and renewable energy PPAs, and agreements for the sale and purchase of renewable energy credits (RECs) and other environmental attributes
  • Experience in PPA contract disputes and enforcement
  • Experience in legal issues involved with transmission service for purchased power (whether the service is purchased by the PPA buyer or seller), including contractual arrangements, applicable tariffs, market auction and “must-offer” requirements, and the rights of markets, regulators, and transmission tariff administrators to recall, suspend, or impede the delivery of purchased power
  • Knowledge of power purchase and REC markets, including knowledge of trends and industry-wide challenges, such as import restrictions
  • Experience with drafting and negotiating energy storage agreements
  • Although the position will typically represent the PPA buy-side, a working knowledge of sell-side project development, finance, and government incentives
  • Experience in legal issues involved with interconnection of a PPA seller’s generation and storage facilities.

Position Purpose

Independently manages the planning, directing, coordinating, and performance of legal work in assigned matters and areas of responsibility, e.g., Commercial, Regulatory, Employment, and Litigation. Supports TVA’s business goals and TVA’s strategic initiatives to achieve those goals.

Principal Accountabilities

  • Works with the Director and General Counsel and TVA management in developing legal strategy. Develops theory, makes decisions, or authoritatively recommends supervisors on legal matters involved.
  • Evaluates legal impact of various TVA or major organizational strategies where laws, regulations, and/or facts are unclear. Provides legal counsel and advice to the officers, senior management, and TVA organizations, and determines with them the most advantageous alternatives based on business and legal considerations.
  • Represents TVA in complex and difficult negotiations, claims, and lawsuits. Work most typically involves facts which are in question; where precedents are difficult to identify or are controversial and conflicting; where the law is unclear or untested; and where the matter in question has potential wide-scale effects on TVA or major organizational operations.
  • Stays abreast of legal developments in assigned areas. Attains and maintains expertise in the appropriate legal fields and enhances professional skills through self-development programs and professional associations.
  • Performs as recognized expert in complex field of law, or alternatively has a seasoned working knowledge of several basic fields of specialization.
  • Independently cultivates necessary relationships and credibility as a trusted advisor with assigned client groups.
  • Independently leads work on complex legal matters, effectively collaborating with peers and organizing and directing the work of junior lawyers.
  • Explains & recommends more junior attorneys’ problems, ideas, & concepts related to work assignments, and assists in development of other attorneys in areas of specialty.
  • Leads by example and models the TVA Competencies.

Minimum Requirements

Education – The position requires a law degree.

Experience - At least 10 years of relevant experience. Extensive knowledge and expertise in the subject or functional areas assigned.

Certification/License, etc. — An active license to practice law in at least one state or the District of Columbia.

Knowledge/Skills/Abilities — The incumbent must have strong analytical skills and the ability to communicate effectively with all levels of TVA management. Extensive knowledge of TVA’s goals, objectives, business operations, and organizational structure is required. Candidate may be required to obtain and maintain a security clearance based on position / access requirements and essential job functions.
