JOB DESCRIPTION:

The position supports fact-based decision making across the global organization, with a primary focus on supporting the Company’s manufacturing and telematics businesses. The Corporate Counsel will help to support the efforts of the legal department to ensure that the Company has the proper legal controls and procedures in place to effectively protect the organization and will assist in providing advice and guidance in the identification of problems and opportunities to mitigate legal and compliance risks. Specific responsibilities include, without limitation:

  • Assistance with support the legal needs of the Company’s corporate headquarters and worldwide manufacturing facilities and operations, including R&D, manufacturing and distribution activities in the United States, Mexico, the United Kingdom, China, Australia, France and Germany under the Truck-Lite, Safe Fleet, Road Ready, PSI, ECCO, Code 3, LED Autolamps, Davco, Rigid, and Lumitec brand names, among others. As the Company expands its product scope and geographic reach, you will be expected to help serve the Company’s expanded needs.
  • Provide legal support and guidance to operations and commercial teams across the organization on a wide range of issues. The primary focus will be on transactional and commercial matters such as review, drafting and negotiating all types of agreements including customer agreements, supplier agreements, software contracts, government contracts (local, state, and federal), real property leases as well as assistance with M&A activity. There is also the opportunity to work on a variety of other types of matters depending on experience and interest of candidate including, without limitation, assistance with trademark and copyright matters, litigation management, employment matters and compliance matters.
  • Coordinate with the Assistant General Counsel and work with other members of the legal department to meet the Company’s needs.
  • Support strategic initiatives (e.g., mergers and acquisitions) that facilitate the Company’s long-term growth objectives.
  • Help with assessment of risk and work to improve Company policies and practices, including contracting practices, as part of an ongoing effort to continuously improve the Company’s efficiencies and risk profile.
  • Help educate employees on various legal issues.
  • Interact routinely with management and segment/operational leadership.
  • Travel (under 10% of time) domestically and internationally in support of facilities, operations, litigation, and transactions.

REQUIREMENTS:

  • Juris Doctor degree from an ABA Accredited school
  • Prefer candidates with at least 4-10 years’ work experience as an attorney. Prior in-house experience a plus, but not required.
  • Proven analytical, evaluative and problem-solving skills, with a keen attention to detail.
  • Strong interpersonal skills, and excellent written and oral communication skills.
  • Ability to effectively prioritize, evaluate risk and execute tasks in a high-pressure environment.
  • Knowledge of Microsoft Office.
