About the role:

Nintex is looking for a highly-motivated attorney to join our growing legal team. As Commercial Counsel, you will be responsible for contributing to all aspects of commercial legal support to a high-volume commercial subscription cloud software organization. Your clients will include the global Sales, Customer Success, Professional Services, and Sales Operations organizations. The Commercial Counsel should take pride in efficiently getting deals done and be comfortable managing legal issues in multiple jurisdictions, including related legal documents and contracts, while remaining responsive to Nintex team members across the business. This role is a great opportunity for someone with a passion for technology, excellent problem-solving skills and an ability to thrive in a fast-paced, changing environment. Reporting to the General Counsel, this role requires several years of experience negotiating and drafting complex commercial contracts.

Your contribution will be:

  • Draft, review and negotiate complex commercial and SaaS sales agreements (e.g., master subscription agreements, terms of use, public sector commercial agreements, professional services agreements, channel agreements, partner agreements, data processing agreements, assignment and assumption agreements, statements of work, order forms, NDAs and other commercial agreements).
  • Provide practical, commercial advice to global sales executives and internal stakeholders on a variety of revenue-related legal issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions.
  • Respond promptly to legal requests from Sales, Professional Services, Customer Success, Sales Operations, Marketing, and other clients, summarizing and communicating legal concepts that businesspeople can implement.
  • Provide guidance on commercial questions and best practices to legal and cross-functional stakeholders.
  • Help shape business and legal terms, deal structures and help improve transaction processes and practices to support innovation, achieve better outcomes and enhance transaction velocity without material increase in risk.
  • Help build and improve forms, policies, and playbooks to improve commercial legal operations as Nintex continues to grow and expand in global markets.

To be successful, we think you need:

  • JD from an accredited law school
  • Bar membership in good standing in at least one US state
  • 5+ years of experience
  • Demonstrated experience negotiating (i) complex commercial transactions, including large enterprises involving issues related to data protection, security and intellectual property; and (ii) transactions involving SaaS. Also has a solid working knowledge of business models, relative bargaining power, sales motion, global commercial negotiation practices and revenue recognition standards, and has the ability to quickly and accurately recognize areas of risk/opportunity.
  • Well-organized and able to work on tight timelines while handling multiple projects.
  • Ability to provide practical legal advice to business personnel at all levels of an organization; effectively present ideas and has exceptional negotiation, client-counseling skills and interpersonal skills.
  • High personal standards of excellence and ethics, as well as the ability to act with discretion and strict confidentiality.
  • Willingness to partner with the business in getting deals closed and objectives achieved
