Corporate and Fiduciary Counsel

The Corporate and Fiduciary Counsel is responsible for providing in-house legal support in connection with (i) fiduciary matters arising within Wealth Management (WM), particularly within Institutional Trust and (ii) general corporate matters. The position will provide general corporate legal support to various members of the Comerica team and will support WM leadership and staff with respect to legal and regulatory requirements, including those arising under federal and state trust and fiduciary laws. This position will report to the SVP -- Corporate Transactions & Wealth Management. The position works closely with Corporate Compliance and the Enterprise Risk Division.

Position Responsibilities

  • General corporate support typical for an in-house attorney.
  • Support various corporate transactional matters.
  • Support the legal needs of the Institutional Trust department.
  • Interpret regulations regarding fiduciary services by banks, federal and state trust laws and other relevant laws as they relate to the provision of fiduciary administration and investment services.
  • Follow proposed and new legislation to assess potential impact to areas that the attorney supports and apprise management of such legislation.
  • Assist WM business line managers in analyzing and managing fiduciary legal risks.
  • Lead, coordinate and/or support legal initiatives as required.
  • Provide in-house legal support for WM regulatory examinations, internal audits and self-testing.
  • Handle fiduciary matters involving federal and state regulatory agencies.
  • Draft and negotiate various contracts, including trust alliances, customer agreements and vendor contracts.
  • Engage and oversee outside counsel as required.
  • Assess fiduciary-related litigation.
  • Serve as recording secretary or assistant secretary for various affiliated entities and internal committees.
  • Review and revise WM marketing materials for legal compliance.

Position Qualifications

  • J.D. from an ABA accredited law school
  • Active member in good standing with the State Bar of Texas or, if licensed in another state, able to qualify for admission in Texas within 180 days
  • 6 years of experience practicing law
  • 4 years of experience in handling contractual matters

8:00am - 5:00pm Monday - Friday, this position includes both onsite and remote work.
