About Opportunity

Avaya is seeking a highly capable and business-oriented Corporate Counsel to join its International Legal Team, supporting operations across the Asia-Pacific and Europe regions, with a primary focus on India.

This role combines day-to-day legal support to the India business with active involvement in cross-border strategic initiatives and international corporate projects, particularly in coordination with EMEA stakeholders. The successful candidate will act as a trusted legal advisor to the business, providing pragmatic, risk-based guidance across a broad range of legal areas, including commercial contracting, regulatory, data protection, corporate governance, and compliance.

In addition to supporting local business activities, the role will contribute to global legal initiatives, including transformation projects, outsourcing transactions, and the implementation of standardized contracting and compliance frameworks across jurisdictions.The position is based in India and reports to the Associate General Counsel for the International Theater (EMEA & APAC). It requires a self-driven, adaptable professional capable of operating both independently and within a highly collaborative, international legal environment, including regular interaction across time zones and willingness to work EU hours when required.

Key Responsibilities

Business Support – India & APAC

  • Serve as primary legal advisor to the India business, supporting commercial, operational, and regulatory matters
  • Provide legal support across APAC jurisdictions as needed, in coordination with regional counsel
  • Advise on local regulatory frameworks, including telecommunications, data protection, employment, and sector-specific requirements
  • Partner closely with sales, services, and partner organizations to support revenue-generating activities while managing legal and compliance risks

Commercial Contracting & Transactions

  • Draft, review, and negotiate a broad range of agreements, including partner agreements, SaaS/cloud agreements, services agreements, NDAs, HR-related documents, and real estate agreements
  • Adapt and localize global contract templates to ensure compliance with Indian law and other applicable jurisdictions
  • Support complex and strategic transactions, including multi-jurisdictional deals and outsourcing arrangements
  • Manage internal approval processes, including preparation of deal summaries, coordination with stakeholders, and contract execution workflows

Corporate, Compliance & Governance

  • Support corporate governance activities for Indian and other APAC entities, including board and shareholder matters and maintenance of statutory records
  • Provide guidance on compliance frameworks, internal policies, and ethical business conduct
  • Act as a data privacy point of contact, advising on data protection matters and supporting policy implementation and updates

Disputes & Risk Management

  • Manage disputes and pre-litigation matters in coordination with external counsel
  • Provide risk assessments and recommend mitigation strategies

International Projects & Global Initiatives

  • Actively support cross-border legal projects, including transformation initiatives, restructuring, and outsourcing programs
  • Collaborate closely with EMEA legal teams, including availability to support EU time zone working hours where required
  • Contribute to the development and rollout of global legal standards, templates, and processes

Training & Knowledge Sharing

  • Deliver legal training to business teams on key topics (e.g., contracting, compliance, data privacy)
  • Promote legal awareness and enablement within the organization

Essential Requirements -

What we are looking for -

  • Law degree and qualification to practice in India
  • 10+ years’ experience in private practice and/or in-house, preferably in an international environment
  • Strong experience in commercial contracting and legal support to technology or telecom businesses
  • Excellent command of Business English
  • Demonstrated ability to balance legal risk with commercial objectives and provide pragmatic, business-oriented advice
  • Ability to work independently while managing multiple priorities in a fast-paced, cross-cultural environment
  • Strong interpersonal and stakeholder management skills
  • Willingness and flexibility to work across time zones, including EU hours, to support international projects
  • High level of integrity, accountability, and attention to detail

Preferred Qualifications / Experience -

  • Experience supporting India-based operations in a multinational environment
  • Knowledge of Indian regulatory landscape, including telecom and data protection
  • Experience with cloud, SaaS, and digital services contracting
  • Exposure to cross-border projects, M&A, or outsourcing transactions
  • Additional language skills (e.g., Japanese) are a plus
