What we look for in this role 

In this role you will...

  • Lead Transcarent’s transactional legal team supporting sales and business development functions.
  • Structure, revise, and negotiate complex legal commercial contracts with health plans, providers, clinical partners and others.
  • Structure, prepare and negotiate commercial technology-related and other general services vendor agreements, including cloud services agreements, software licenses, professional services, consulting agreements, advertising agreements, third-party data licenses, and NDAs.
  • Communicate risks and explain contract language and terminology (e.g., limits of liability, indemnifications, audits, etc.) appropriately for a given audience.
  • Identify and lead or participate in projects to improve contracting process.
  • Lead the design and implementation of legal forms and processes.
  • Supervise and grow, as necessary, commercial contracting legal team.
  • Supervise and partner with outside counsel to ensure that Transcarent’s representation is of the highest quality, relevance, practicality, and cost effectiveness.
  • Provide as-needed support for the rest of the Legal team.
  • Act as a trusted, reliable, proactive partner to leaders at all levels of the company.

What we are looking for

  • Extensive experience negotiating complex commercial transactions, including in healthcare.
  • Experience with ERISA required, and preferred thorough understanding of the various federal laws that impact health and welfare plans including, COBRA, HIPAA, and Internal Revenue Code
  • A working knowledge of HIPAA, anti-kickback and fee-splitting laws, TPA and state and insurance laws preferred.
  • Experience building and maintaining rapport with leaders, team members, employees, and external company contacts, with demonstrated ability to lead and contribute to team effort.
  • Experience with and interest in managing employees.
  • Solid business acumen and problem-solving ability.

Education/Experience:

  • JD and bar admission in at least 1 U.S. state
  • 7+ years of legal experience, with specific, documented experience in contracting, drafting and negotiating complex commercial transactions
  • 5+ years of experience in contracting, drafting and negotiating complex commercial transactions in health care, including with or for health plans

Location

You must be authorized to work in the United States. Depending on the position we may have a preference to a specific location, but are generally open to remote work anywhere in the US.
