The Opportunity

insitro is changing the way that drugs are discovered and developed for patients. We are building a platform that generates novel insights from applying machine learning to a combination of high-quality cellular data, generated in-house, and externally sourced human cohort data.

Reporting to our Chief Legal Officer, we are seeking a highly motivated individual with extensive corporate paralegal experience to join our team as a Senior Corporate Paralegal. You will become an integral member of the Legal team who will provide support on a wide variety of legal matters and cross-functional processes. The role requires an exemplary organizational, collaboration, communication, and influencing skills as well as a curious mind and a desire to learn. The role also requires a business-oriented and operations-focused approach and a willingness to engage in ensuring the overall growth and success of the organization.

This role will be based in South San Francisco, with a hybrid approach of three days per week in the office.

Responsibilities

  • Assist with various corporate legal matters, including but not limited to:
  • Overseeing day-to-day management and maintenance of accurate records of Board and Committee meetings, director and officer information, governance policies, and compliance records.
  • Working closely with attorneys and cross-functional teams to support financial audit, equity administration and shareholder-related matters.
  • Assisting with due diligence processes, data room management, and preparation of deal documents for financings and corporate development and M&A transactions.
  • Coordinating closings and attending to post-closing matters including filing and tracking transaction documents with federal, state and local authorities as required.
  • Developing and maintaining systems and processes for storing insitro's legal files to ensure easy access and organization.
  • Supporting the development and implementation of legal and compliance policies and SOPs.
  • Coordinating signatures, notarizations, authentications, and legalizations on a variety of domestic and international documents ranging from straightforward to highly complex and specialized.
  • Assisting the Legal team in developing, implementing, and optimizing processes and systems to increase the efficiency of the Legal department.
  • Working with internal attorneys and outside legal counsel in providing support for SEC filings (including Section 16 reporting, proxy statements, registration statements, Forms 8-K, 10-Q, 10-K and Form 4), in collaboration with various internal and external non-legal parties, including senior management, Board members, the Finance team, and the independent auditors.
  • Providing support for the annual meeting of shareholders, including preparing meeting materials, coordinating meeting logistics, and assisting during the meeting.
  • Overseeing and managing a Board portal and preparing, distributing and ensuring the completion of director and officer questionnaires.

 

About You

  • Bachelor's degree from accredited college or university
  • 5+ years of directly related work experience at a large law firm(s)
  • 10+ years in-house experience with focus on corporate, securities and transactional law support
  • Extensive experience with the following in a private company context: equity financing transactions, equity administration (including via Carta), shareholder reporting, audit support, managing data rooms and supporting due diligence processes, supporting business development and M&A transactions, and managing subsidiary matters
  • Extensive experience with the following in a public company context: the initial public offering process, SEC filing and compliance matters, public company equity administration, and annual shareholder meetings
  • Experience in the healthcare or life sciences industry
  • Familiarity with intellectual property and regulatory compliance matters
  • A self-starter, with a strong bias to action, who can intuitively prioritize and advance multiple projects under the resource, information and time constraints in a small, fast paced environment
  • Strong interpersonal skills with a "make friends" approach to working with people inside and outside the company
  • Stellar organizational skills and a high level of accuracy and attention to detail
  • Excellent written and oral communication skills

 

Compensation & Benefits at insitro

Our target starting salary for successful US-based applicants for this role is $150,000 - $170,000. To determine starting pay, we consider multiple job-related factors including a candidate's skills, education and experience, market demand, business needs, and internal parity. We may also adjust this range in the future based on market data.

This role is eligible for participation in our Annual Performance Bonus Plan (based on company targets by role level and annual company performance) and our Equity Incentive Plan, subject to the terms of those plans and associated policies.
