Caterpillar commercial attorneys support Caterpillar business units in their business and operational commercial transactions. Commercial attorneys work directly as a partner with internal business clients to shape, strategize, draft, review and negotiate innovative and sophisticated commercial agreements. They also advise those clients on a wide variety of related issues.
This Senior Corporate Counsel position will work directly with the business and leadership team of Caterpillar’s Electrification + Energy Solutions (E+ES) Division, which is a global organization responsible for the delivery of advanced electrified powertrains, zero exhaust emissions products and technologies, and the solutions and services that will support customers as they integrate these new products and technologies into their business sites and operations. Focus areas include batteries, fuel cells, motors, inverters, micro grid controllers, charging, energy storage systems, lifecycle solutions/services and integration of components for ePowertrain solutions across industries.
- Commercial legal support for supported business : Directly manage commercial legal matters primarily for the business strategy and commercial development segments of E+ES, including continuous support to division Directors and Vice Presidents and their teams.
- Coordination and delivery of related non-commercial legal support : Coordinate, engage and collaborate with in-house and external subject matter experts on litigation, regulatory/compliance issues, labor and employment issues, IP, and other areas, in support of providing overall legal support to E+ES.
- Process improvement and training: Actively develop and implement process improvements related to the legal support of E+ES along with assisting with the development and delivery of training on a variety of legal relevant legal topics to the commercial teams.
What You Will Do:
- Negotiate, prepare, and review contracts such as purchasing agreements, strategic alliance agreements, NDAs, and evaluation/ testing agreements.
- Develop and prepare legal documentation to facilitate the sales and support of products and services to customers and Cat dealers globally.
- Support project-based commercial work related to the development, testing and commercialization of products and services including engagement with strategic commercial customers, dealers and distributors and other third parties.
- Support E+ES mergers and acquisitions and joint venture activities; coordinating with and providing support to Caterpillar’s Mergers & Acquisitions team in support of strategic investment activities; providing advice and counsel to Caterpillar employees who serve as directors on JV boards regarding procedures; reviewing actions taken by JVs to ensure compliance with Caterpillar’s operating agreements; and corporate maintenance activities.
- Provide advice and transactional legal support in conjunction with E+ES’ intellectual property counsel related to product development and purchasing activities.
What You Have:
- Risk Management: Knowledge of processes, tools and techniques for assessing and controlling an organization's exposure to risks of various kinds; ability to apply knowledge of risk management appropriately to diverse situations.
- Effective Communications: Understanding of effective communication concepts, tools and techniques; ability to effectively transmit, receive, and accurately interpret ideas, information, and needs through the application of appropriate communication behaviors.
- Managing Multiple Priorities: Knowledge of effective self-management practices; ability to manage multiple concurrent objectives, projects, groups, or activities, making effective judgments as to prioritizing and time allocation.
- Legal Analysis: Knowledge of methods and tools used in legal analysis; ability to read, interpret and draw accurate conclusions from both legal and factual information.
Degree and Experience Requirements:
- J.D. from an accredited law school with strong academic credentials
- Active Bar admission in any U.S. state with ability to apply for a license to practice law in Texas
- Must have considerable experience as a commercial attorney in legal practice at a top law firm and/or in-house at a large corporation
Top Candidates will also have:
- Experience with drafting and negotiating commercial agreements in the electrification, alternative energy, and/or alternative fuels space
- Regulatory experience related to electrification and alternative energy (such as the importation, exportation, storage, handling, registration use and disposal of batteries and other hazardous materials).
Additional Info :
- The primary location for this position is Irving, Texas or Peoria, IL however open to considering other Caterpillar locations.
