Franchise Paralegal

This position reports to the Senior Director of Legal. The candidate would work with the Legal Team (Paralegal and Legal Administrative Assistant) and Senior Management team with legal matters involving all aspects of the business, a wide range of corporate and commercial transactions. The Franchise Paralegal is responsible for coordinating, preparing, and maintaining legal documents related to but not limited to franchising, copyrighting, and other legal matters and activities. She/he should be detail-oriented, organized, efficient, and work well independently and as part of a team.

Essential Functions


  • Work with Senior Director of Legal on existing and upcoming legal matters;
  • Interface with franchise business team, franchisees, and their administrative staff to conduct organizational due diligence and obtain all required information for completion of franchise documents (including franchise and related agreements, amendments, and other agreements);
  • Facilitate the execution of documents by franchisees and the Company;
  • Undertake special assignments, including research, review, and analysis of contracts and other issues, as requested;
  • Assist in filing of the Franchise Disclosure Document (“FDD”), FDD amendments, and renewals;
  • Assist in administering and issuing default notices, termination, and settlement agreements;
  • Assist in managing the franchise compliance process, including franchise ownership, entity formation, resolutions and partnership documents, Franchise Agreement key dates and milestones;
  • Basic maintenance and monitoring of certificates, leases, and other commercial contracts;
  • Support Senior Director of Legal on general Company legal matters, e.g., entity maintenance filings, business licenses;
  • Support Senior Director of Legal as needed on merger and acquisition activity
  • Communicate and provide other departments with information regarding franchise agreement information;
  • Effectively and communicate with franchisees regarding transactional and other matters;
  • Assist in maintaining all legal documentation, electronic files, and databases to ensure current and accurate information is available for audits;
  • Respond as necessary to miscellaneous franchise development or operational issues; and
  • Undertake special assignments, including research, review, and analysis of contracts and other issues, as requested.

  • Proficiency in Google Workspace, MS Word, and Excel;
  • Familiarity with database functionality and operation; and
  • Flexibility for overtime.

Supervisory Responsibility


This position has no direct or indirect reports.


Work Environment


This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, shredding, and fax machines.

Position Type/Expected Hours of Work the


This position is a full-time, non-exempt position, and the hours and the days of work are Monday through Friday, working between 8:00 a.m. to 5:00 p.m. Occasional evening and weekend work may be required as job duties demand.


Travel


Occasional out-of-the-area and overnight travel may be expected based on an individual’s job responsibilities.


Required Education and Experience


Two-year college degree and at least three years of relevant work experience and at least three years of relevant work experience


OR


Four-year college degree and minimum relevant work experience of one year


OR


Have at least ten years of relevant work experience as a franchise paralegal.


Must have basic franchise paralegal experience, preferably in a transactional, franchise, real estate, or general corporate practice.


Paralegal Certificate preferred but not required.
