Position Summary
The Legal Department at Nexus Pharmaceuticals provides legal services and counsel to the company. The Assistant General Counsel is responsible for, among other things: managing actual and potential litigation and enforcement matters, including internal reviews and investigations related to such matters, advising on products and services, contract negotiation and documentation, advising on new business initiatives, managing dispute resolution, interpreting existing laws and regulatory guidances and advising on changes thereto, advising on advocacy in connection with contemplated and proposed laws, rules and regulations, and providing legal advice to the Executive Management Team, and various functional groups.
Role Responsibilities
  • Management of Legal Function and Department: Ensures the legal needs of the Company are both identified and adequately addressed within the Legal Department or by outside counsel. Stays current on applicable laws, develops legal strategies and applies effective risk management techniques. Manages and helps lead the Company’s Legal Department and delivery of legal services, including coordination and management of outside counsel. With the legal team, oversees all licensing issues.
    • Support intellectual property protection and assist in developing legal strategy regarding patent litigation. Assist with managing outside IP/Patent Counsel
  • Compliance: Accountable for all local, state and federal compliance requirements. Ensures proper review and input into wage-hour classification issues, contractor versus employee questions, and numerous other topics (for example, immigration questions, discrimination issues, testing problems, and hiring practices). -Maintain and oversee contract repository. Identify and draft necessary forms and policies. Assist and support sales and marketing departments with compliance support.
  • Risk management functions: Identify areas of risk exposure; coordinate insurance renewals with various brokers. Maintain incident reports and investigate incidents where necessary.
  • Vendor Management: Ensures maintenance of procurement forms and review of vendor-drafted forms.
  • Transactions and Legal Documents: Ensures the legal review, analysis, and drafting of contracts and other legal documents, including corporate strategic transaction materials, legal forms and other material documents.
  • Litigation: Assists in formulating strategy and supervising the attorneys who represent the Company in litigation.

  • Able to manage relationships with all levels, manage executive level expectations and issues and contribute to Company strategic direction.
  • Self-motivated to achieve department and organizational goals and participate in required training and events. Ensures projects and initiatives are delivered timely and with quality.
  • Works positively across the organization modeling and encouraging Company values and inclusiveness of all employees, constructive two-way communication and sharing of ideas.
  • Maintain highest level of confidentiality.
Required Skills/Abilities:
  • Law degree from an ABA-accredited law school
  • Currently licensed in good standing to practice in the State of Illinois. No history of debarment with any Federal agency.
  • 5-8 years as a practicing lawyer in a corporate and business environment, prefer 2-3 years management experience as a lead attorney in a business or corporate practice section at a corporate or commercial law firm
  • Experience at a pharmaceutical company preferred
  • Excellent leadership and collaboration skills with strategic planning and implementation. Strong people management skills.
  • Excellent strategic thinking, analytical, communication and planning skills.
  • Outstanding communication skills, both written and verbal.
  • Strong negotiation and diplomacy skills, unquestionable integrity, strong work ethic, strong business acumen, and good judgment.
  • Proven track record handling complex litigation.
  • Ability to successfully manage external law firms, vendors, and consultants.
  • Familiarity with the governance documents and experience with the corporate governance process.
  • Experience with corporate law, mergers & acquisitions, employment law, compliance and privacy law.
  • Prefer experience with IP/Patent Law
  • Proficiency with Outlook and Microsoft suite programs.
Physical Requirements
  • Prolonged periods of sitting at a desk, working on a computer, and talking on the phone.
  • 10-25% Travel required for this role
