Society Insurance is seeking an experienced Vice President-General Counsel and Corporate Secretary. This position is the top legal, regulatory, and compliance position and sits on the executive team for Society Insurance. This position is responsible for managing and directing the legal, compliance, and regulatory matters not related to policyholder claims. You will oversee corporate governance and the Vendor Management Program, with special attention to contract approval. You will provide legal advice regarding legal principles, practices and procedures, and knowledge of the property & casualty industry. You will represent the company regarding government relations and public policy issues, serve as corporate secretary, and be the primary legal advisor to the board of directors.


About the Role
  • Participates in and records minutes for Board of Directors’ meetings.
  • Advises executives, senior management, and the board of directors on legal matters.
  • Manages all non-claim related legal matters for the company including regulatory filings for company matters, transactions, and various business operations
  • Participates in the negotiation of commercial contracts with a broad range of counterparties and provides guidance on related legal issues and risk mitigation strategies.
  • Delivers legal advice, instructs external counsel, and ensures compliance with internal polices & procedures.
  • Provides strategic direction for government affairs and public policy issues; participates in the management of relationships with state level department of insurance personnel along with other executives, and represents the company with elected officials at the state and federal levels and with industry associations.
  • Participates and contributes to the development and execution of company strategies and plans.
  • Serves as a role model in ethical behavior. Models the moral tone for the organization and maintains a high level of professional competence, corporate values, and policies.

What it Will Take
  • A Juris Doctor Law degree from an accredited university and member in good standing of the local bar association.
  • Licensed to practice law in relevant jurisdictions (to include the primary state of Wisconsin).
  • 10 years of corporate law experience with a property casualty insurance carrier.
  • Experience in corporate governance.
  • Knowledge on property and casualty commercial products, rates, forms, coverages, compliance and regulations.
  • Experience in advising senior leaders on complex legal matters, ensuing compliance with state and federal laws.
  • Ability to build strong working relationships with the executive management team and board of directors.
  • An insurance industry designation, such as Chartered Property Casualty Underwriter (CPCU) is highly desirable.
