Position: Corporate Counsel


Report to: VP of Law and Human Resources

Holtec International is seeking a Corporate Counsel to join our Office in Camden, New Jersey. The position will handle various corporate legal matters for the Company, including drafting/reviewing/negotiating contracts, labor matters, commercial transactions, governmental regulations, intellectual property issues and litigation oversight.

Responsibilities:

  • Provide legal, strategic, and tactical support for key company initiatives.
  • Partner with business colleagues to develop solutions that enhance company processes, products, systems, and tools.
  • Assist with managing general litigation, including prosecution of commercial claims related to subcontracts, vendor or supply agreement or customer agreements.
  • Manage outside counsel.
  • Draft, review and negotiate terms of procurement contracts (subcontracts, vendor agreements, supply agreements and service agreements).
  • Assist Project Management and Procurement in the review, drafting, and negotiation of Non-Disclosure Agreements, Subcontracts, Vendor Agreements, Service Agreements, Material Supply Agreements, Consulting Agreements, Licensing Agreements, Teaming Agreements.
  • Review customer/vendor proposed terms and conditions.
  • Interpret laws, rules and regulations affecting the operation of the organization.
  • Identify risk and consult with subject matter experts to ensure business objectives are met.
  • Navigate complex issues and partner with peers and leaders both within and outside the legal department to connect initiatives, advise on impacts to the company, and develop best practices for executing key firm initiatives.
  • Effectively communicate and share information across the organization.
  • Provide legal research support to VP of Law and HR.

Qualifications:

  • Degree from an ABA accredited law school, admitted to the New Jersey State Bar.
  • Bachelor’s Degree.
  • 1-5 years’ experience in in-house legal department or law firm.
  • Proficient in Microsoft Word, Excel, and Outlook.
  • Manufacturing/Energy Industry Experience preferred.
  • Regulatory experience preferred.
  • Ability to be proactive and drive matters to conclusion.
  • Excellent communication skills and strong interpersonal skills that provide ability to interact with the most senior levels of the organization
  • Proven ability to work efficiently, effectively, and proactively in a fast-paced deadline orientated environment.
  • Demonstrated ability to convey complex issues to legal and non-legal professionals, including senior leadership.
