About the Role

We are looking for a bright and motivated Senior Counsel, Corporate & Securities to join our legal team. As Senior Counsel, you will be a key member of our legal department, working collaboratively with business teams on securities law and public reporting compliance and on general corporate transactions, including capital markets, mergers and acquisitions, equity transactions and corporate governance. Top candidates will have an understanding of relevant legal issues and the drive and creativity to implement best-in-class processes to advance our business. As a relatively lean legal department at a newly public company, we are seeking an attorney who enjoys wearing multiple hats, proactively takes on new responsibilities and is excited by the challenge of providing legal services at a dynamic, fast growing fintech company.

Key Responsibilities

  • Act as a trusted advisor to MoneyLion’s Executive team on all legislative and regulatory developments affecting the business
  • Lead drafting and filing of all securities and public reporting documentation; support all securities compliance matters, including working with finance and accounting teams to design and implement securities compliance processes
  • Advise on M&A transactions and other strategic initiatives
  • Collaborate with the legal and finance team on financing arrangements and other capital markets activities, board and corporate governance, and equity matters, including equity plans, capitalization, and compensation matters
  • Advise on board and investor matters, including review of press releases, investor presentations, investor and board communications and other related disclosure materials
  • Develop and maintain, and advise on, policies, procedures and controls to ensure corporate governance and securities compliance
  • Collaborate with legal and compliance team members to enhance legal operations and processes
  • Assist legal and compliance team members in other projects as needed, including product counseling and related research, marketing and promotional review and other matters
  • Manage day-to-day interactions with business partners, outside counsel, and other stakeholders

About You

  • 4 to 7 years of relevant law firm or in-house experience; a background working on public company securities law matters in the fintech / regulated consumer-facing financial services industries a plus
  • JD Degree from an accredited law school and license in good standing to practice law in the United States
  • Knowledge of securities laws and regulations; banking and consumer finance knowledge is a plus
  • Experience in providing legal counsel on capital markets transactions, public reporting obligations and corporate governance; prior work with technology companies preferred
  • Experience managing corporate transactional matters and advising finance and business teams
  • Comfortable in dynamic, fast-paced environments, with an entrepreneurial spirit and willingness to roll up your sleeves and do the work
  • Excellent problem solving and communication skills that allow you to make clear, pragmatic recommendations
