Senior Paralegal, Corporate Law

The Senior Paralegal, Corporate Law works closely with the Director, Corporate Counsel, Securities and Corporate Governance on various corporate matters, including Securities and Exchange Commission and Nasdaq reporting and compliance matters, corporate governance matters and management of corporate subsidiaries, as well as cross-departmentally with the Contracts group within the broader Legal department to partner and collaborate on drafting, reviewing, and negotiating general corporate contracts.

Primary Responsibilities Include:

  • Form new entities and maintain and update all minute books and share records for all Sarepta entities.
  • Assist with the preparation and filing of SEC documents, including Forms 10-K, 10-Q, 8-K, proxy statement and Section 16 filings.
  • Support the general contracts function within the Sarepta legal department on contract drafting, review, and negotiating as needed; examples include but are not limited to supporting general corporate contracts and pre-clinical contracts, etc.
  • Assist with general corporate governance matters, including preparing board and committee presentations, resolutions and minutes.
  • Assist with the planning of Sarepta’s Annual Meeting of Stockholders.
  • Additional related responsibilities as needed.

Desired Education and Skills:

  • 5+ years of corporate paralegal experience, with at least 3+ years of in-house corporate paralegal experience at a public company.
  • Excellent drafting, negotiation and communications skills (both verbal and written).
  • Proven ability to successfully manage projects and timelines, organize/track complex information, prioritize accordingly, and the ability to quickly adjust to shifting priorities and demanding timelines when necessary.
  • Solid sense of accountability and seasoned judgment as related to escalating for senior level support; highest ethical standards and focus on quality and attention to detail.
  • Self-motivated with strong work ethic and the ability to work independently and efficiently.
  • Demonstrated interpersonal interaction skills, including emotional intelligence and maturity combined with a team-oriented approach.
  • Experience working with stakeholders/partners at all levels, globally, across an organization.
