This is a remote, home-based position. Must be residing in the United States.

The Senior Corporation Counsel provides legal counsel to various ACS business units with respect to contract negotiation and drafting, charitable giving matters, sponsorship and endorsement laws, compliance with federal and state laws related to fundraising, compliance with federal laws related to the organization’s tax-exempt status and other areas of law as required. This position will report directly to the Deputy General Counsel but must be able to serve as lead attorney and conduct the majority of tasks independently with no supervision.

MAJOR RESPONSIBILITIES

  • Transactional attorney needed for broad variety of substantive, complex commercial contracts. Must be able to independently draft, edit, review and negotiate agreements for ACS and ensure that the agreements are in compliance with organizational policies and applicable legal requirements. Identify legal risks and issues raised in contractual pursuits and on-going contractual obligations and assist in the development of risk mitigation strategies. The ideal candidate will have experience dealing with legal issues involving transactions outside of the United States, Financial transactions, licensing, technology, marketing and fulfillment/procurement.
  • Manage potential litigation, including drafting responses to opposing counsel, assisting business units and senior/ executive management with evaluation of potential litigation, research of issues and consultation with outside legal counsel when needed.
  • Serve as legal expert with respect to corporate governance matters, including matters related to Sarbanes-Oxley and assisting with evaluation of monitoring reports and executive limitations. Draft, review and revise committee charters for the Board of Directors. Draft, review and revise resolutions and minutes of the meetings of the Board of Directors.
  • Serve as legal expert with respect to ACS licensing matters, including logo licensing agreements, Relay license agreements, and internet content licensing agreements.
  • Ability to provide accurate and timely oral and written advice in an accessible manner that is tailored to the Society’s needs.
  • Ability to identify underlying issues in complex situations and resolve problems creatively and effectively.
  • Ability to learn quickly and gain credibility through use of good judgment, high integrity and collegial attitude.
  • Ability to work independently, manage multiple priorities and organize time.
  • Assist in counseling internal clients on legal issues that apply to a 501(c)(3) organizations.
  • Perform research on legal issues and draft legal memoranda.
  • Perform additional tasks as requested.

Position Requirements:


FORMAL KNOWLEDGE:

  • College degree: BA or BS and JD from a reputable college or university. Candidates must have excellent law school academics, job history and be admitted to and in good standing with the State Bar.
  • 6 - 10 years’ experience at a reputable law firm and/or large corporate in-house environment required. Must include extensive contract negotiation and drafting experience. Broad knowledge of corporate law required.
  • Ideal candidate would have broad transactional background and experience in tax and intellectual property matters.
  • Excellent interpersonal and communication skills and experience working closely with senior executives essential.
  • Integrity, leadership, organizational, analytical, motivational and time management skills required. Candidate must be a team player, strategic planner, decision-maker, and a problem solver. Must have an analytical mind and the ability to identify issues and provide and support solutions to address them. Must be hard working, proactive, well organized and able to manage numerous projects simultaneously under deadline pressure.
