Job Description
Privia Health seeks an Associate Counsel to provide support on a wide range of legal matters. This position will support the other members of the legal team in complex healthcare transactions, but will also have an opportunity to work autonomously on contract drafting, review, and negotiations. The ideal candidate should be agile and comfortable working in a fast-paced remote environment.
Primary Job Duties:
Assist legal team members with drafting and negotiating complex healthcare transactions
Assist with due diligence and corporate/legal filings
Draft and negotiate a wide variety of transaction documents, including non-disclosure agreements, letters of intent, purchase agreements and affiliation agreements
Assist in contract negotiations
Identify issues and collaborate with internal stakeholders to resolve conflicting interests and objectives
Escalate issues to senior team members, as appropriate
Provide advice and guidance to internal stakeholders with respect to corporate governance issues
Periodically assist with the review and implementation of policies and procedures
Perform in a cross-functional coordination role with other business team members (e.g., commercial, finance, operations, procurement)
Direct legal aspects of post-closing integration of acquisitions and joint ventures
Handle other tasks as assigned
Qualifications
J.D Degree
1-3 years engaged in active legal practice with a law firm or in-house
Commercial transaction experience preferred
Ability to work independently as well as coordinate with a team
Excellent attention to detail
Ability to maintain a high degree of discretion and confidentiality
Excellent verbal and written communication skills
Excellent organization, time management, and problem-solving skills
Must comply with HIPAA rules and regulations
Physical Demands:
Ability to constantly remain in a stationary position
Ability to constantly operate a computer and other office productivity machinery, such as computer and printer
Ability to read and use close vision, including the ability to do so on a computer screen
Ability to frequently communicate and exchange information
Ability to frequently adjust focus
