Job Summary

NetApp is a cloud-led data-centric software company and multi-billion dollar technology leader. We are adding a corporate counsel to our award-winning legal department. The successful candidate will support the company’s global operations and procurement functions, which include negotiating vendor and technology agreements, master purchase agreements, SaaS, software licenses, and other commercial or technology contracts.  You will assist in providing advice related to privacy, regulatory, compliance, and certification issues. This position is based in San Jose, California but will also consider other locations. This attorney will have at least 3 years of experience in contract drafting and negotiations. 

Responsibilities

  • Drafts and negotiates various vendor and procurement agreements, technology agreements, software licenses outsourcing, professional services agreements, semiconductor supply agreements, component purchase agreements, renewals, amendments, SOWs, NDAs.  
  • Works closely with supply chain and operations teams on vendor governance and policies, risk mitigation, compliance with applicable laws and regulations.
  • Negotiates co-location and logistics agreements for the company; advise on working with such vendors.  
  • Negotiates privacy, information security, regulatory, insurance, and data protection aspects of agreements, works closely with other legal and non-legal functional teams on such issues. 
  • Advises on contract disputes and other issues arising from vendor agreements.  
  • Maintains and updates Master Purchase Agreement, Master Services Agreement, and other templates.
  • Provides legal and strategic business advice and ensures agreements are consistent with internal corporate policies and processes.  

Qualifications

  • JD with at least one state bar membership
  • Have at least 3 years of experience in supply chain, operations, or commercial transactions.
  • Strong work ethic and self-starter, with a growth mindset.
  • Flexibility in working hours in a global enterprise.
  • Detail-oriented, ability to simultaneously manage multiple projects, strong project management and organizational skills, work well under pressure and deadlines
  • Excellent team player and interpersonal skills; must work well in fast-paced, highly collaborative, team environment.
  • Strong personal communication skills, both written and oral.  
  • Commitment to diversity, inclusion, and belonging.
