About the Role:

The Assistant General Counsel’s primary areas of focus are commercial agreements, M&A and other corporate transactions, and entity management. It is also anticipated that the Assistant General Counsel will assist as needed with matters related to the corporate secretary function, securities, corporate governance, and compensation and benefits. The Assistant General Counsel reports to the Senior Corporate Counsel, who reports directly to the General Counsel.

What you'll do:

  • Maintain (with support from a paralegal) corporate records for all corporate entities and appropriate intercompany agreements between local entities and corporate (Provo) entities.
  • Negotiate and review commercial agreements and oversee the contract administration process.
  • Provide support for M&A, financing, and other corporate transactions, including working with members of the Business Development group or Treasurer on deal structure, due diligence, drafting and negotiating agreements, and managing deal process and execution.
  • Assist with corporate secretary and corporate governance matters, including supporting management and the Corporate Secretary in preparing for Board and committee meetings, advising on corporate governance best practices, and monitoring compliance with SEC rules and NYSE listing standards.
  • Assist as needed with the preparation of SEC reports, including Forms 10-K, 10-Q, 8-K, and SD, proxy statements, and Section 16 reports.
  • Provide legal support for the company’s Employee Benefits group.
  • Provide timely and practical legal advice to the company’s business leaders, including proactively identifying key issues and providing advice and counsel to the company’s senior leaders.
  • Assist with the drafting and review of agreements relating to supply chain, manufacturing, quality control, SOPs, and lab testing services. Provide additional help with the development and implementation of policies and best practices for each of these areas.
  • Develop and maintain strong partnerships with management and other internal stakeholders to influence decision making and achieve successful business outcomes.
  • Serve as a resource to all members of the legal team in addressing issues as they impact or apply to their areas of responsibility.

What you'll need:

  • Law degree from an accredited law school in the United States
  • Minimum of 4 years experience advising on M&A issues with a reputable law firm
  • Strong work ethic and high ethical standards
  • Strong written and verbal communication skills, including the ability to present complex issues in a clear and concise manner
  • Ability to identify key legal risks and structure business solutions to address those legal risks

Bonus points for:

  • Experience with entity management and corporate secretarial responsibilities
  • Experience with federal securities regulations, contract administration, and/or employee benefits
